Job summary

ALL ASSURANCE CORPORATE ADVISORY PTE. LTD. is seeking a motivated Corporate Secretarial Executive to join our growing professional services team. This role suits someone with at least two years of relevant experience who wishes to deepen their technical knowledge and manage a diverse portfolio of clients.

You will handle compliance, prepare board resolutions, maintain statutory records, lodge filings with ACRA, and liaise with clients and regulators while upholding high professional standards.

Qualifications

Job description

We are seeking a motivated and detail-oriented Corporate Secretarial Executive to join our growing professional services team.

This role is suitable for an individual with at least two years of relevant experience who wishes to deepen their technical knowledge, manage a diverse portfolio of clients and develop a long-term career in corporate secretarial and compliance services.

Key Responsibilities
  • Manage a portfolio of Singapore-incorporated companies and ensure compliance with the Companies Act 1967 and relevant regulatory requirements.
  • Prepare directors' and shareholders' resolutions, minutes of meetings and other statutory documents.
  • Maintain and update statutory registers, minute books and corporate records.
  • Prepare and lodge statutory filings with the Accounting and Corporate Regulatory Authority (“ACRA”), including annual returns and changes in company particulars.
  • Handle company incorporations, changes of officers, share allotments and transfers, amendments to constitutions, changes of company names and other corporate exercises.
  • Coordinate annual general meetings and other directors' and shareholders' meetings.
  • Assist with corporate bank account opening and other administrative matters relating to clients' corporate requirements.
  • Conduct customer due diligence, beneficial ownership checks and ongoing monitoring in accordance with applicable anti-money laundering and countering the financing of terrorism requirements.
  • Maintain the registers of registrable controllers, nominee directors and nominee shareholders, where applicable.
  • Monitor statutory deadlines and follow up with clients to obtain the required information and documents.
  • Liaise professionally with clients, directors, shareholders, auditors, tax agents, banks and regulatory authorities.
  • Assist with Companies Act and corporate governance advisory matters under the guidance of the firm's director.
Requirements
  • Diploma or degree in Business Administration, Corporate Administration, Law, Accounting or a related discipline.
  • At least two years of relevant corporate secretarial experience in Singapore.
  • Working knowledge of the Companies Act 1967 and ACRA filing requirements.
  • Experience in managing a portfolio of private companies independently.
  • Familiarity with corporate service provider compliance, customer due diligence and beneficial ownership requirements would be advantageous.
  • Proficient in Microsoft Office and corporate secretarial software.
  • Strong command of written and spoken English.
  • Careful, organised and able to manage multiple statutory deadlines.
  • Good interpersonal skills and a professional, client-focused approach.
  • Able to work independently while collaborating effectively with the wider team.
  • Candidates pursuing or holding relevant qualifications from the Chartered Secretaries Institute of Singapore will have an advantage.
