Job summary

TwoAtoms Capital in Saudi Arabia is seeking an Associate to work on live ECM and DCM mandates end to end, with ownership of workstreams. This is an execution seat with real responsibility across deal workstreams.

The role requires 3–5 years in investment banking with ECM/DCM exposure, strong financial modelling, and full bilingual proficiency in Arabic and English for filings and client documents.

Qualifications

• Bachelor's degree in Finance, Accounting, Economics or a quantitative discipline.
• 3–5 years in investment banking with demonstrated ECM/DCM work.
• CME-1 is required; CME-5 and CFA are advantages.
• Strong financial modelling built from first principles.
• Fluency in Arabic and English for filings and client docs.

Responsibilities

• Build and maintain valuation models and pricing analysis for IPOs, rights issues, private placements and direct listings.
• Draft prospectuses and Nomu registration documents; prepare CMA and Tadawul submissions.
• Run IPO readiness work: governance, financial reporting, related-party and restructuring items.
• Prepare investor presentations, research analyst materials, roadshows and book-building analysis.
• Support sukuk and debt mandates, including structuring and regulatory materials.
• Coordinate with legal, auditors and reporting accountants across mandates.

TwoAtoms Capital (Two Atoms Capital Company) is an independent, CMA-licensed investment bank serving the Saudi mid-market, headquartered in Eastern Province. We are authorised by the Capital Market Authority for Arranging and Advising in Securities.

We work with Saudi mid-market companies at the point where growth outpaces the balance sheet: founders and family groups preparing for a listing, companies raising sukuk or term debt to fund expansion, and shareholders looking to bring in capital or a partner. Mid-market issuers need the same quality of execution as large caps but with far more hands-on work on readiness, governance and documentation. That is where we spend our time, across equity capital markets (TASI and Nomu), debt capital markets and sukuk, and M&A.

The role

We are hiring an Associate to work on live ECM and DCM mandates end to end: pre-mandate positioning and readiness, documentation, regulatory submission, marketing, pricing and closing. This is an execution seat with real ownership of workstreams.

What you will do

Equity capital markets

• Build and maintain valuation models (DCF, comparable companies, precedent transactions) and pricing analysis for IPO, rights issue, private placement and direct listing mandates


• Draft prospectuses and Nomu registration documents; prepare CMA and Tadawul submissions and responses to regulator comments


• Run IPO readiness work: governance, financial reporting, related-party and restructuring items to be resolved before filing


• Prepare investor presentations, research analyst presentations, roadshow materials and book-building analysis

Debt capital markets and sukuk

• Support structuring of sukuk and conventional debt, including sizing, tenor, profit rate, covenant analysis and debt capacity modelling against client cash flows


• Prepare offering circulars, investor packs and rating agency materials; assist with Sharia structuring and Sharia board documentation


• Track Saudi and GCC issuance, pricing and spreads to support structuring and pricing recommendations

Across all mandates

• Manage information request lists, data rooms and diligence workstreams; coordinate legal counsel, auditors and reporting accountants


• Prepare pitch materials, teasers, information memoranda and internal committee papers


• Support M&A and private capital raise mandates as deal flow requires


• Act as a reliable day-to-day point of contact for clients on process

What we are looking for

• Bachelor's degree in Finance, Accounting, Economics or a quantitative discipline, with a strong academic record


• 3 to 5 years in investment banking, capital markets or transaction advisory, with demonstrable involvement in at least one completed ECM or DCM transaction


• CME-1 is required ; CME-5 and CFA are advantages


• Strong financial modelling ability, built from first principles rather than populated from templates


• Working knowledge of the CMA Rules on the Offer of Securities and Continuing Obligations, Nomu listing rules and Tadawul process


• Full professional fluency in Arabic and English, including drafting in both. Filings and client documentation are bilingual and this is a requirement


• Saudi nationals preferred; transferable iqama considered for candidates already in the Kingdom


• Ownership instinct, sound judgement, and the discipline to raise issues early
