Job summary

Pixalate, Inc. is seeking a seasoned Corporate Counsel to manage governance, contracts, and regulatory compliance across U.S. and international regimes from Lahore, Pakistan.

You will lead drafting and negotiation of SaaS agreements, intercompany contracts, and board resolutions, while ensuring adherence to privacy laws and cross-border requirements. Collaborative work with product, finance, and executive teams is essential for compliant global growth.

Qualifications

• Experience analysing legislative and regulatory obligations under U.S. and international laws.
• Experience drafting, negotiating, and amending SaaS and intercompany agreements.
• Knowledge of data privacy laws and regulations (GDPR, CCPA, CPA, CTDPA).
• Ability to collaborate with product, finance, and executive teams on governance and compliance.

Responsibilities

• Experience coordinating preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider disclosures.
• Drafting intercompany agreements and written board resolutions for international entities (e.g., Ireland, Delaware).
• Negotiating and structuring subscription and data licensing agreements for SaaS businesses.
• Project management for incorporation of international affiliates and subsidiaries.
• Familiarity with OECD Guidelines for Multinational Enterprises.
• Excellent interpersonal and written/verbal communication skills.
• Experience with fundraising activities, including Series A raises, Venture Debt raises, and Convertible Notes.
