Job summary

SBI Capital Markets Ltd. seeks an experienced ECM professional to lead end-to-end execution of IPOs, FPOs and related capital market transactions. The role demands deep knowledge of ECM products, regulatory compliance, and client engagement across Indian and global markets.

The candidate will manage a small team, coordinate with regulators and intermediaries, and drive business development with a focus on timely deal closure and risk management.

Qualifications

• 12 years+ experience in capital markets and ECM execution.
• In-depth knowledge of IPOs, FPOs, Rights Issues, QIP, QIB, FCCBs, Open Offer and PE.
• Strong regulatory understanding of SEBI and stock exchange rules.

Responsibilities

• Develop and manage an ECM execution team.
• Lead end-to-end IPO/FPO/ rights issue/open offer/delisting/government disinvestment transactions.
• Oversee document preparation (DRHP/RHP), due diligence and transaction execution.
• Ensure regulatory compliance and risk management across deals.
• Coordinate with regulators, clients and intermediaries; interact with stock exchanges.
• Contribute to business development by generating early deal leads and client engagement.
• Lead negotiations on transaction agreements and manage investor grievance handling.
• Guide subordinates in capital market product knowledge; manage team performance.

Experience

• Understanding of capital markets in India & Globally.
• Knowledge and experience in all capital market products – IPO, FPO, Rights Issues, QIP, QIB, FCCBs, Open Offer and PE.
• Updated Knowledge of SEBI and Stock Exchange regulations as well as Regulatory Domain expertise in ECM execution.

Position Objective /Responsibilities

• Responsible for developing and managing team within the Equity Capital Markets Execution
• Manages execution relating to IPOs/FPOs/Right issues/Open offer/ Delisting/ Govt. Disinvestment end to end
• Supervises the document preparation (DRHP/RHP) for public issue / Rights Offers etc., due diligence and execution of Equity Capital Market transactions
• Supervises the execution and successful closure of Equity capital market transactions
• Coordinates and works closely with the ECM team on all aspects of regulatory compliance
• Responsible for regulatory and internal compliance of Merchant Banking business
• Liaisons with regulators, clients, intermediaries and interacting with the stock exchanges from deal execution and approval perspective
• Responsible for contributing to business development by bringing in early lead for capital market products and ensuring client engagement with the help of the coverage team
• Responsible in ensuring risk management and compliance with various SEBI Regulations and meeting all disclosure requirements
• To play a lead role in negotiation with various transaction agreements with clients and third parties
• Investor Grievance handling pre & post issue
• Assisting in the post issue co-ordination work up-to the listing
• Comply with the Compliance and Risk policy of the Company
• Spearheading various regulatory changes and providing recommendations on regulatory changes to SEBI committees
• Imparts product knowledge to subordinates and peers in Capital market products
• Typically manages a team of 2 – 3 resources
