Job summary

Private Advertiser is seeking an in-house Legal Counsel to support our Philippine operations, with primary focus on real estate and telecommunications lease acquisitions. You will lead legal due diligence, draft and negotiate property-related agreements, and oversee closing and registration with relevant authorities.

The ideal candidate holds a Juris Doctor and Philippine Bar membership, with at least 3 years’ experience in real estate, contracts, or corporate matters.

Qualifications

• Juris Doctor or Bachelor of Laws.
• Member in good standing of the Philippine Bar and Integrated Bar of the Philippines.
• At least 3 years of relevant legal practice preferred, particularly involving real estate, contracts, corporate matters, or commercial transactions.
• Working knowledge of Philippine property law, land registration, contracts, and general corporate law.
• Exposure to employment law, dispute resolution, or regulatory matters is advantageous.
• Strong legal drafting, analytical, negotiation, and problem-solving skills.
• Commercial mindset with the ability to distinguish material legal risks from issues that can be practically resolved.
• Strong written and verbal communication skills in English and Filipino.
• Highly organized and capable of managing multiple transactions and legal matters simultaneously.
• Experience in either telecommunications infrastructure, or real estate investment, or lease acquisitions is required.

Responsibilities

• Conduct legal due diligence on properties and acquisition opportunities, including titles, ownership, encumbrances, tax records, authority to transact, and related property documentation.
• Draft, review, and negotiate property rights agreements, assignments, deeds, SPAs, affidavits, amendments, and other transaction documents.
• Identify legal risks and recommend practical corrective or mitigating actions.
• Support the resolution of property access issues, landowner disputes, lease disputes, and other matters affecting access to or enjoyment of acquired rights.
• Coordinate notarization, registration, and post-closing requirements with the Registry of Deeds, BIR, LGUs, and other government authorities.
• Prepare legal due diligence reports, closing checklists, and transaction documentation.
• Provide ongoing legal support to the Philippine business on corporate, commercial, contractual, regulatory, and governance matters.
• Support management and HR on Philippine employment matters, employee documentation, workplace policies, disciplinary processes, and related legal requirements.
• Assist with corporate housekeeping, board and shareholder documentation, powers of attorney, corporate registrations, and regulatory filings.
• Review and negotiate agreements with vendors, consultants, landlords, counterparties, and other third parties.
