Job summary

The Corporate Institute in the Philippines seeks an experienced Chartered Accountant to own ESOP and cap table management, financial close, and tax compliance. You will coordinate with legal, finance, and external advisers to ensure accurate reporting and regulatory adherence.

You will drive financial planning, analysis, and internal controls while supporting cross‑border transactions and contract reviews in a fast-paced environment.

Qualifications

• Qualified Chartered Accountant with post-qualification experience.
• Strong hands-on experience in accounting, financial closure, audit coordination, and statutory compliance.
• Good understanding of ESOPs, cap table management, taxation, FEMA, and corporate/legal matters.

Responsibilities

• ESOP & cap table management including grants, vesting, transfers and related docs.
• Accounting & financial close ownership: monthly, quarterly, annual closures, ensuring completeness and accuracy.
• Tax & statutory compliance oversight and liaising with external tax advisers.
• International tax, FEMA regulations, and cross-border transaction support with legal/tolicy teams.
• Financial analysis, planning, budgeting, forecasting, and management reporting; drive process improvements.

Job description

Key Responsibilities:

1. ESOP & Cap Table Management:

• Manage and maintain the company’s ESOP records and cap table, ensuring accuracy and timely updates.
• Oversee ESOP grants, exercise, vesting, transfers, and related documentation.
• Coordinate with legal, finance, and other stakeholders on ESOP-related matters.
• Ensure appropriate accounting, tax, and compliance treatment of ESOP transactions.

2. Accounting & Financial Close:

• Take hands-on ownership of bookkeeping and accounting activities.
• Oversee monthly, quarterly, and annual financial closure processes.
• Review and ensure completeness of all closure entries, provisions, accruals, reconciliations, and adjustments.
• Work closely with statutory auditors and manage audit requirements, queries, schedules, and supporting documentation.
• Ensure timely preparation and review of financial statements and MIS.

3. Tax & Statutory Compliance:

• Oversee direct and indirect tax compliances, including coordination with external tax advisors where required.
• Ensure timely completion of statutory filings and regulatory compliances.
• Monitor changes in applicable tax laws and regulatory requirements and assess their impact on the business.
• Support tax audits, assessments, notices, and other regulatory matters.

International Tax, FEMA & Structuring:

• Develop a working understanding of international taxation, FEMA regulations, and cross-border transactions.
• Assist in evaluating international transactions, remittances, investments, and related compliance requirements.
• Work with legal and tax advisors on entity structuring and transaction structuring.
• Ensure appropriate documentation and regulatory compliance for cross-border activities.

4. Legal & Contract Review:

• Review service agreements, commercial contracts, and other business agreements from a financial, commercial, and risk perspective.
• Coordinate with external/internal legal counsel for legal review and negotiation.
• Identify key commercial, financial, tax, and compliance implications in agreements.

5. Financial Analysis & Planning:

• Support financial planning, budgeting, forecasting, and management reporting.
• Analyse financial performance, costs, cash flows, and key business metrics.
• Provide actionable insights to management to support business and financial decisions.
• Assist in identifying opportunities for process improvement, cost optimisation, and better financial controls.

What We’re Looking For:

• Qualified Chartered Accountant (CA) with relevant post-qualification experience.
• Strong hands-on experience in accounting, financial closure, audit coordination, and statutory compliance.
• Good understanding of ESOPs, cap table management, taxation, FEMA, and corporate/legal matters.
• Exposure to international taxation and cross-border transactions will be an advantage.
• Strong analytical and problem-solving skills.
• Ability to review contracts from a commercial and financial perspective.
• Comfortable working in a fast-paced environment with ambiguity and evolving priorities.
