Corporate Secretary
Location: Bonifacio Global City, Taguig, Philippines

Working Conditions: Monday – Friday, 8:00 AM – 5:00 PM
Company: Japanese multinational company in the energy and power sector
Reporting to: Legal Manager / President
Key Responsibilities
- Serve as Corporate Secretary for the company and affiliated entities.
- Ensure compliance with the Revised Corporation Code of the Philippines, SEC regulations, and applicable laws.
- Organize Board of Directors, Board Committee, and Shareholders meetings, including preparation of agendas, minutes, resolutions, and secretarial certificates.
- Maintain and safeguard corporate records, statutory books, and legal documents.
- Coordinate regulatory filings with government agencies, including SEC, BIR, DOE, ERC, and other relevant authorities.
- Manage corporate legal documents, contracts, permits, licenses, and compliance schedules.
- Support legal due diligence for business projects.
- Review and draft legal documents, including NDAs, MOAs, consultancy agreements, service agreements, Letters of Intent, and official communications.
- Coordinate with external law firms and monitor legal service engagements.
Qualifications
- Juris Doctor (JD) graduate.
- Passed the Philippine Bar Examinations.
- Minimum three years of post‑qualification experience as Corporate Secretary or Assistant Corporate Secretary in the Philippines.
- Strong knowledge of corporate governance, contract management, commercial law, and the energy industry.
- Proficient in English and Filipino.
- Highly motivated with strong willingness to learn and develop.
