AboitizPower is seeking an AVP for Corporate and Regulatory Compliance in Pasig City to lead the corporate and regulatory compliance needs of the Transition Business Group. The role directs corporate housekeeping for TBG entities, manages the corporate secretarial team, and ensures SEC filings, contracts, and governance materials are accurate and timely.

You will monitor national regulatory developments, provide strategy for DOE, ERC, and related bodies, and collaborate with Legal, COM, and O&M

Qualifications

  • At least five years of relevant experience in regulatory affairs, policy research, compliance, or energy sector analysis.
  • At least one year of experience handling corporate secretarial work.
  • Education: Law degree from a reputable law school.

As AVP for Coporate and Regulatory Compliance, the role will be responsible for handling the corporate compliance and regulatory compliance needs of the various departments. This position shall be responsible for the corporate housekeeping of all the TBG entities, and managing the corporate compliance team so as to provide the necessary legal documentation for the business units such such as, but not limited to, (e.g. forms, certifications, secretary’s certificates, contracts, and SEC documents), ensuring that the entities are compliant with SEC regulations by filing all required reports, monitoring and updating of legal developments, collating, generating and preparing reports, and handling the corporate secretarial work for the TBG entities such as organizing, uploading, and reviewing presentation materials and projects files,preparing meeting minutes, liaising with the departments for board materials, and running and scheduling the Board meetings. The position is also responsible for implementing document control and records management processes and maintenance of related databases. This position will also handle other legal-related matters and special projects as may be required from time to time, such as SEC applications, amendment of corporate documents, and preparing supporting documentation. The role is also responsible for steering the regulatory landscape for TBG, providing high-level governance and oversight for national compliance matters. They will ensure that all transition assets, including thermal-to-renewable shifts and emerging technologies, operate within the legal frameworks of national bodies like the DOE, ERC, and other regulatory bodies, and contribute directly to transforming energy for a better world. You will work closely with various teamso deliver results, create positive community impact, and develop your skills in a supportive, purpose-driven environment.

In This Role, Your Responsibilities Will Be
National Compliance Governance & Guidance
  • National Impact Advisory: Provide expert guidance on compliance issues that have a national scope, ensuring a unified response across all TBG power generation companies regardless of their location.
  • Standardization of Compliance: Develop and maintain national-level compliance policies and internal governance to ensure consistency across the business group.
  • Escalation Management: Act as the primary point for escalating complex regulatory concerns from regional teams that require a national or group-wide resolution.
  • Cross-Functional Alignment: Coordinate with COM, Legal, and O&M teams to ensure that national-level regulatory requirements are correctly interpreted and applied by all relevant process owners.
Regulatory Intelligence & Assessment
  • Strategic Monitoring: Track national agencies (DOE, ERC, NGCP, etc.) for new policies or directives that impact the energy industry as a whole.
  • Centralized Knowledge Management: Maintain a structured repository of all national policy updates and regulatory issuances for the benefit of the entire TBG, train and cascade new regulatory issuances to TBG departments
  • Business Impact Briefings: Draft high-level policy briefs and recommendations for leadership regarding the strategic implications of national regulatory shifts.
National Advocacy & Stakeholder Coordination
  • National Representation: Lead and support participation in national public consultations, technical working groups (TWGs), and regulatory hearings.
  • Relationship Management: Maintain professional relationships with national government agencies (e.g., PEMC, IEMOP, PSALM) and industry associations.
  • Advocacy Intelligence: Monitor industry-wide submissions and competitor filings to inform the direction of TBG’s national advocacy.
System Integrity & Risk Management
  • National Risk Oversight: Identify strategic regulatory risks at the national level and propose protective measures or "cures" to mitigate business exposure.
  • IMS Compliance: Ensure all national-level compliance activities align with the Integrated Management Systems (IMS).
Corporate Compliance
  • Ensure that TBG entities are compliant with SEC regulations, corporate law, by filing all necessary legal reports (such as but not limited to requires general information sheets) and requirements, maintaining SEC accounts, and ensuring that their corporate housekeeping is in order
  • Run and organize TBG entities board meetings, send out required notices and agenda, upload presentation materials, prepare meeting minutes, liaise with TBG and JV partner directors, officers, and departments as needed, schedule board and other related meetings, and otherwise ensure TBG corporate secretariat policies are followed
  • Provide all departments with corporate document requirements, such as secretary certificates and other certifications, and coordinate on related matters such as but not limited to board resolution requests
  • Implement document control system and organizational system for documents in their custody, in order to keep track of and safeguard corporate documents
  • Ensure smooth, efficient, and professional provision of corporate secretarial services to the different departments and entities
What You Will Need

Education & Experience:

  • Experience (No. of Years): At least five (5) years of relevant professional experience in regulatory affairs, policy research, compliance, or energy sector analysis, and at least (1) year of experience handling corporate secretarial work
  • Education: Law degree from a reputable law school
  • License/Certifications: Integrated Bar of the Philippines
