Qualifications

LL.B. or JD and active IBP membership.
5+ years in contracts, commercial transactions, dispute resolution, or corporate practice.
Strong knowledge of corporate and commercial law and regulatory requirements.
Excellent drafting, negotiation and stakeholder management skills.

Responsibilities

Lead legal document review, drafting and negotiations for transactions and projects.
Draft, review, and negotiate contracts, ensuring compliance with laws and risk parameters.
Coordinate with external counsel to ensure timely regulatory filings (PCC/SEC).
Develop and maintain legal templates, resources and training materials.
Oversee external counsel to ensure quality and cost‑effective services.
Improve legal processes through simplified reviews, knowledge resources, and AI-enabled tools.
Supervise and develop team members through delegation, coaching and feedback.
Oversee corporate secretarial, stock transfer, and governance activities with SEC reporting.
