Job description

Job Summary

To perform the Governance & facilitate Legal activities of the company.

Key Responsibilities
  • Coordinate legal due diligence for prospective investee companies.
  • Review and revise preliminary drafts of standard transactional documents.
  • Advise on process improvements to close transactions more effectively.
  • Respond to regulatory and audit inquiries as directed by the supervising attorney.
  • Conduct advanced factual research and basic legal research as requested.
  • Participate in meetings with the VC team and act as an SME on mandate, legal, contractual, jurisdiction and structural matters.
  • Ensure timely receipt, distribution, and review of materials for board and committee presentations.
  • Verify accuracy of committee activities in company charters.
  • Manage KYC and background checks for target companies and founders.
  • Coordinate with KYC consultants regarding contracts, invoices, and resolution of red‑flag findings.
  • Coordinate with SAO industrial security or other entities for background checks.
  • Advise on legal, contractual and regulatory matters related to portfolio companies.
  • Review shareholder resolutions received from portfolio companies.
  • Organize Governance and Regulatory training for founders and portfolio companies.
  • Review and advise on compliance of portfolio companies with signed agreements; highlight non‑compliance issues to the VC team.
  • When requested, review board materials of portfolio company boards and provide pre‑meeting comments to board members.
Board Coordination
  • Coordinate Wa'ed board and board committees.
  • Prepare the annual board and board committee calendar.
  • Organize board meetings in collaboration with Wa'ed Leadership and Company Secretary.
  • Prepare agendas and track submission deadlines.
  • Perform quality review of agenda items before presenting to the Managing Director.
  • Ensure timely submission of board materials to the Board Secretary.
  • Draft and finalize board and committee minutes; review completeness.
  • Follow up and close all action items on time.
  • Save final board packs in the board folders.
Communications
  • Draft emails and other communications to board and committees.
  • Advise on governance and documentation control.
  • Act as SME on governance documentation (shareholder mandate, articles of association, delegation of authority).
  • Coordinate and manage conflict of interest matters; seek clarification from the SAO CoI team as needed.
  • Ensure key documentation by each department is filed auditably per policy requirements.
  • Secure all signed legal documents in a fire‑safe locker.
  • Practice data classification and data protection guidance.
Training

Organize staff training on legal and regulatory matters.

Managerial Duties

As the portfolio grows, this position may be required to supervise an analyst with a legal background.

Requirements
  • Bachelor's degree in law or related fields.
  • Certification in Paralegal.
  • Accredited Legal Professional (ALP).
  • ICA Certification.
  • Minimum 5 years of experience.
  • Basic knowledge of legal frameworks and regulatory environment.
  • Knowledge of corporate structures and entity formation.
