Job Description
- The role is a Head Office position providingcontractual authority and governance across all active projects, includingutility-scale renewable energy developments (Wind, Solar PV and BESS) andindustrial and commercial construction. The individual will act as the primarycontractual reference for the organisation, managing EPC and subcontractframeworks, driving proactive risk identification, safeguarding companyinterests through precise contractual communication, and leading claims anddispute processes. Close coordination with engineering, planning, commercialand legal functions is a core requirement.
Contract Governance & LifecycleManagement
- Own and govern the full contractuallifecycle for all construction and renewable energy contracts from pre-tenderthrough to final account close-out and performance certificate issuance.
- Lead contract review and negotiationduring the tender phase: identify contractual risks, ambiguities and gapsbefore contract award and propose protective amendments.
- Establish and maintain a structuredcontracts register covering all active EPC, subcontract, supply and serviceagreements across the project portfolio.
- Define and enforce contract managementprocedures, notice protocols and correspondence standards across theconstruction department.
- Ensure all contractual obligations,milestones, conditions precedent and hold-point requirements are identified,tracked and met throughout project execution.
- Lead contract close-out activitiesincluding final account settlement, defects liability management, performancesecurity release and lessons-learned documentation.
EPCContract Review & Management
- Conduct thorough review and risk analysisof EPC contract documents including conditions of contract, scope of work,technical specifications, payment schedules and performance requirements.
- Identify and document gaps,contradictions, ambiguities and risk allocations within EPC contract packagesand present findings to senior management with recommended mitigation actions.
- Proactively identify and bridgecontractual gaps between Power Purchase Agreements (PPAs), grid connectionagreements, EPC contracts and subcontract packages, ensuring alignment andprotection of the Owner’s position throughout.
- Monitor EPC contractor compliance with allcontractual obligations on a continuous basis: programme adherence, qualityplan implementation, insurance and bond obligations, reporting requirements andnotification deadlines.
- Review and advise on EPC contractorcontractual entitlements, including variations, time extensions and financialclaims, ensuring the company’s position is protected at all times.
- Manage contractor-side deliverablesubmission schedules and ensure timely review and response to avoid deemedapproval or contract breach.
Claims Management
- Lead the preparation, substantiation andsubmission of all contractual claims on behalf of the Owner, includingExtension of Time (EOT) claims, prolongation cost claims, disruption and lossof productivity claims, and acceleration claims.
- Manage the defence and rebuttal of claimssubmitted by EPC contractors, subcontractors and suppliers: assess entitlement,quantum and supporting evidence, and prepare structured counter-claim orrejection responses.
- Ensure strict compliance with FIDIC andcontract-specific notification provisions for all claims: deadlines, form ofnotice, content requirements and supporting records.
- Maintain a comprehensive claims registercovering all active, pending and resolved claims across the portfolio, withregular status reporting to senior management.
- Coordinate with planning engineers onforensic delay analysis to support EOT claims and delay rebuttals: Time ImpactAnalysis (TIA), As-Planned vs. As-Built and Windows Analysis methodologies.
- Coordinate with cost controllers andquantity surveyors on claim quantum preparation, cost substantiation andfinancial exposure assessments.
- Maintain a structured notices andapprovals tracker covering all contractual time-sensitive obligations acrossevery active contract.
- Proactively track, prepare and issue allrequired contractual notices within prescribed deadlines, including:
- Delay notices: immediate identificationand notification of delaying events in compliance with FIDIC or equivalentcontract provisions.
- Extension of Time (EOT) notices: formalinterim and final EOT submissions with full supporting programme and narrativesubstantiation.
- Variation notifications: timelyidentification, notification and pricing of scope changes, instructedvariations and constructive changes.
- Claims submissions: preparation and timelysubmission of fully substantiated claims in compliance with contract notice andsubmission requirements.
- Suspension notices: identification ofgrounds, formal notification and preservation of associated cost and timeentitlements.
- Payment applications: preparation, reviewand timely submission of interim payment applications and final accountstatements in compliance with contract payment provisions.
- Ensure that no contractual right is waivedthrough late notice, inadequate form or insufficient substantiation.
Contractual Communication & Strategic Correspondence
- Own and control all formal contractualcorrespondence across the project portfolio: draft, review and approve allcontractual letters, notices, instructions and responses before issue.
- Apply disciplined language control to alloutgoing contractual communications: ensure wording is legally precise,protects company entitlements, avoids unintended admissions and is appropriatein tone and content for the contractual context.
- Establish and enforce a correspondenceprotocol across the construction department, ensuring that site teams andproject managers understand what can and cannot be committed to in writingwithout contractual review.
- Review all incoming contractualcorrespondence from EPC contractors, clients, consultants and authorities andprepare structured, timely and contractually sound responses.
- Ensure notices comply with all form,content, delivery method and deadline requirements specified in the contract:written notice requirements, addressee specifications and notificationtimelines.
- Maintain a professional but commerciallyprotective communication posture throughout the project lifecycle, balancingrelationship management with robust defence of contractual position.
- Maintain a full and indexed correspondenceregister for every active contract, ensuring records are contemporaneous,retrievable and suitable for use in dispute or arbitration proceedings.
Gap Analysis: PPA, Grid Connection & EPC Alignment
- Proactively review and cross-referencePower Purchase Agreements (PPAs), grid connection agreements, financingagreements and EPC contract documents to identify contractual gaps,inconsistencies and misaligned obligations.
- Prepare structured gap analysis reportsfor senior management identifying areas where EPC contractor obligations do notfully satisfy Owner obligations to the off-taker, lender or grid authority.
- Propose and implement contractualremediation measures including back-to-back provisions, specific contractualprotections and targeted amendment language to close identified gaps beforeexecution.
- Monitor PPA performance obligationcompliance throughout construction and commissioning, ensuring EPC contractorprogramme and performance obligations support timely COD achievement and avoidPPA termination risk.
- Identify and manage contractual interfacerisks between multiple contracts running in parallel across hybrid ormulti-package project configurations.
- Maintain a consolidated contractual riskregister across all active contracts, covering financial exposure, schedulerisk, claim risk, compliance risk and dispute risk, with regular review andupdate cycles.
- Provide proactive contractual risk alertsto senior management when identified risks exceed agreed thresholds or whencontractor behaviour indicates emerging dispute or claim escalation.
- Prepare and present executive-levelcontractual status reports covering claims status, notices issued and received,financial exposure, dispute risk and key upcoming contractual deadlines.
- Deliver clear, decision-ready managementpresentations on contractual matters to senior leadership, Board-levelstakeholders and project owners as required.
- Advise senior management on contractualstrategy, negotiation positions, settlement options and dispute escalationdecisions based on thorough contractual and commercial analysis.
- Manage the preparation, review and awardof subcontract and supplier agreements across all project scopes, ensuringback-to-back alignment with the EPC contract where appropriate.
- Review subcontract terms for riskallocation adequacy, payment provisions, performance requirements and noticeobligations, and propose protective amendments before award.
- Monitor subcontractor compliance withcontractual obligations throughout execution and manage claims, variations anddisputes at subcontract level.
- Ensure subcontract payment applicationsand certifications are processed in accordance with contract provisions andcash flow requirements.
- Manage flow-down of EPC contractorobligations to relevant subcontractors to maintain contractual integrity acrossthe supply chain.
- Lead the preparation and management offormal dispute resolution processes including DAAB (DisputeAvoidance/Adjudication Board) referrals, adjudication, mediation and ICC orUNCITRAL arbitration proceedings.
- Coordinate with external legal counsel onarbitration strategy, pleadings preparation, document disclosure and witnessstatement support.
- Compile, organise and presentcontemporaneous project records, correspondence archives, programme analysisand cost substantiation documentation required for dispute proceedings.
- Manage the company’s contractual positionthroughout dispute escalation, ensuring all procedural steps, noticerequirements and response deadlines are met.
- Provide strategic advice on disputeavoidance, early neutral evaluation and settlement negotiation to manage legalcost and reputational exposure.
Requirements
General Experience
- Minimum 10 years of professionalexperience in contract management within construction, EPC or infrastructureproject environments.
- Minimum 5 years in a senior or leadcontract management role with portfolio-level responsibility.
- Minimum 5 years of direct experience onrenewable energy projects, specifically utility-scale Wind, Solar PV and/orBESS developments above 300 MW.
- Proven experience managing contractsacross the full project lifecycle: tender, award, execution, commissioning andclose-out.
- Demonstrated experience in claimspreparation, submission and defence on EPC or large construction contracts.
- Experience working with Owners, Owner’sEngineers, IPPs, EPC contractors or international engineering consultants in acontractual management capacity.
FIDIC Experience – Mandatory
- Comprehensive working knowledge of FIDICcontract conditions is mandatory. Candidates must demonstrate direct hands-onexperience administering FIDIC-based contracts, not merely theoreticalfamiliarity.
- Minimum 5 years of direct FIDIC contractadministration experience across at least one of the following: FIDIC Red Book(Construction), FIDIC Yellow Book (Plant & Design-Build) or FIDIC SilverBook (EPC/Turnkey), FIDIC White Book.
- In-depth knowledge of FIDIC noticeprovisions, time bar clauses
- Engineer’s role and determinations,dispute resolution procedures and DAAB mechanisms.
- FIDIC Accredited Training certificate(FIDIC ATC) or equivalent formal FIDIC qualification is strongly preferred.
- Experience with FIDIC 2017 editionprovisions and their practical differences from the 1999 suite is advantageous.
