Job summary

Vistra is seeking a Legal Services Lawyer for our largest Private Equity client portfolio. You will provide comprehensive corporate legal services, resolving complex questions and coordinating with a tight team of Legal, financials and relationship managers.

You will identify compliance risks, manage client entities under supervision, and engage with international clients to expand knowledge and capabilities within Dutch corporate law and related regulations.

Qualifications

• Structured, detail-oriented with high focus on quality and client satisfaction.
• Excellent command of English, both written and spoken.
• Proficient in Microsoft Office (Excel, Word, PowerPoint).
• Basic knowledge of Book 2 Dutch Civil Code and basic accounting knowledge.
• 2–4 years of relevant experience in a corporate legal environment.
• Experience providing legal support for international clients.
• Completed Bachelor and/or Master in Law (preferably Dutch law focus).

Responsibilities

• Prepare and/or review resolutions, agreements, POA and related documents for legal transactions in coordination with third-party service providers.
• Coordinate and prepare legal documentation for approval and adoption of financial statements; assist auditors.
• Identify compliance risks affecting client entities.
• Manage daily corporate legal matters under supervision of Senior Legal Services Lawyer or Manager.
• Maintain client files with timely and accurate documentation.
• Coordinate deadlines of corporate legal matters with Senior Legal Services Lawyer or Manager.
• Identify legal and fiscal implications of client structures and proposed transactions; liaise with third parties as needed.
• Proactively identify potential liabilities and communicate with clients, shareholders and advisors.

Scope

You will report into the Manager Legal Services and provide a full range of legal advice and services.

In your day to day activities, you will work with a tight team of Legal, along with dedicated financials and relationship managers. You will work together to ensure high client satisfaction, solve complex questions and provide a full range of corporate services for your client entities. In addition you will be able to spar with experienced legals on other portfolio’s and expand your knowledge and grow together.

Key Responsibilities

• Prepare and/or review the resolutions, agreements, poa's and other documents related to legal transactions and coordination with third party service providers;
• Coordinate, review and prepare the legal documentation for approval and adoption financial statements as well as coordination of assistance of auditor;
• Identify the compliance risks;
• Handle daily management of client entities and corporate legal matters under supervision of a manager of Senior Legal Services Lawyer and in accordance with Dutch corporate law and regulations;
• Client files are being maintained properly, through timely and accurate drafted, reviewed and revised corporate legal documentation;
• Provide timely and accurate administration and coordination of deadlines of corporate legal matters in cooperation with Senior Legal Services Lawyer, or manager;
• Identify the legal and fiscal aspects, queries and problems issues of client structures and proposed transactions and consult with the third parties for advise if needed;
• Proactively identify any potential (Director's) liabilities;
• Proactive and professional (verbal and written) communication with clients, shareholders, advisors and other relevant parties concerning legal matters;
• Build and manage professional business relationships with clients.

Key Requirements

• Completed Bachelor and/or Master in Law (preferably Dutch Law with emphasis on company law, Notary law or Fiscal law).
