Job summary

Vistra Amsterdam is seeking a Dutch-speaking Legal Services Lawyer to support a major Private Equity client portfolio. You will collaborate with the Legal Services team to deliver timely corporate and legal services in a fast-paced environment.

The role focuses on corporate law, document drafting, and compliance within an international client context, reporting to the Manager Legal Services. 40-hour work week, on-site in Amsterdam.

Qualifications

• Bachelor and/or Master in Law (prefer Dutch Law with emphasis on company or fiscal law).
• 2-4 years of relevant experience in legal services.
• Experience supporting international clients.
• Excellent command of English; Dutch is a plus.

Responsibilities

• Prepare and review resolutions, agreements, and powers of attorney for legal transactions.
• Coordinate and prepare legal documentation for approval and audit support.
• Identify compliance risks.
• Manage daily corporate matters under supervision of Senior Legal Services Lawyer.

For our Amsterdam office, Vistra Netherlands is looking to recruit a Dutch speaking Legal Services Lawyer who is available for 40 working hours for our largest Private Equity client portfolio.

Scope

As a Legal Services Lawyer, you are committed to providing our largest Private Equity client with the best possible legal services. You will work closely together with our other Legal Services Lawyers to make sure our services are seamlessly connected to each other and delivered to our globally operating client. In close collaboration with our dedicated Relationship Managers and Financial team, our Legal Services Team delivers the requested services in a fast-paced environment.

The team consist of young, energetic professionals that are eager to continuously challenge each other and develop themselves to bring out the best in the team and every individual.

You will report into the Manager Legal Services and provide a full range of legal- and corporate secretarial services. You support in the daily activities of Medior and Senior corporate lawyers and act as a resource for colleagues in other departments.

Key Responsibilities

• Prepare and/or review the resolutions, agreements, poa's and other documents related to legal transactions and coordination with third party service providers;
• Coordinate, review and prepare the legal documentation for approval and adoption financial statements as well as coordination of assistance of auditor;
• Identify the compliance risks;
• Handle daily management of client entities and corporate legal matters under supervision of a manager of Senior Legal Services Lawyer and in accordance with Dutch corporate law and regulations;
• Client files are being maintained properly, through timely and accurate drafted, reviewed and revised corporate legal documentation;
• Provide timely and accurate administration and coordination of deadlines of corporate legal matters in cooperation with Senior Legal Services Lawyer, or manager;
• Identify the legal and fiscal aspects, queries and problems issues of client structures and proposed transactions and consult with the third parties for advise if needed;
• Proactively identify any potential (Director's) liabilities;
• Proactive and professional (verbal and written) communication with clients, shareholders, advisors and other relevant parties concerning legal matters;
• Build and manage professional business relationships with clients.

Key Requirements

• Structured, detail-oriented person, with a high focus on quality and client satisfaction;
• Excellent command of English language, verbal and written; proficiency in Dutch is an added advantage;
• Sound knowledge of Microsoft Office (Excel, Word, PowerPoint);
• Basic knowledge of Book 2 Dutch Civil Code and basic accounting knowledge;
• 2-4 years of relevant experiences;
• Experience in providing Legal support in a Corporate environment;
• Experience in managing and advising (international) clients;
• Completed Bachelor and/or Master in Law (preferably Dutch Law with emphasis on company law, Notary law or Fiscal law).
