Job summary

Novastone Capital Advisors is seeking a Corporate Legal & Governance Specialist to support the management of the Group’s corporate structure across multiple European jurisdictions. The role combines governance, entity management, and legal operations, working closely with the in-house team, external counsel and corporate service providers.

Qualifications

• Law degree or equivalent qualification.
• 1–2 years of relevant professional experience in corporate law, company secretarial work, entity management, or in-house legal environment.
• Strong understanding of corporate law, governance and secretarial matters.
• Experience with corporate entities across multiple jurisdictions is an advantage.
• Excellent written and verbal communication and interpersonal skills.

Responsibilities

• Maintain EMS and corporate records for Group companies across jurisdictions.
• Coordinate incorporations, maintenances, dissolutions, capital increases, and changes of directors/officers.
• Prepare filings with Commercial Registers and other authorities.
• Maintain shareholders’ registers and organisational charts.
• Monitor compliance with corporate requirements and deadlines.
• Coordinate with external counsels and service providers on governance matters.
• Prepare and administer board meetings, notices, agendas, and minutes.
• Prepare corporate resolutions and other governance documents.
