Responsibilities

  • Organise and coordinate meetings of the Board of Directors and Board Committees.
  • Prepare meeting schedules, agendas and supporting documentation.
  • Attend Board and Board Committee meetings and prepare minutes.
  • Capture complex discussions, deliberations, decisions and action items clearly.
  • Monitor and follow up on matters arising from meetings to ensure timely resolution.
  • Support preparation and review of Board papers, governance reports and materials.
  • Liaise with Directors, Senior Management and internal stakeholders on governance matters.
  • Assist in maintaining governance practices and Board administration processes.
  • Supervise and guide a small team supporting Board activities.
  • Develop understanding of banking operations, risk management and regulatory requirements.

VICE PRESIDENT, BOARD & CORPORATE GOVERNANCE

A well-established Malaysian commercial bank is seeking a highly capable professional to join its Board & Corporate Governance function.

Reporting directly to the Company Secretary, the successful candidate will play a critical role in supporting the Board of Directors and Board Committees by ensuring effective governance processes, high-quality meeting administration and timely follow-up of Board decisions.

This position offers a unique opportunity to gain deep exposure to the strategic, operational, risk management and credit aspects of banking while working closely with Directors and Senior Management.

Key Responsibilities
  • Organise and coordinate meetings of the Board of Directors and Board Committees.
  • Prepare meeting schedules, agendas and supporting documentation.
  • Attend Board and Board Committee meetings and prepare accurate, comprehensive and high-quality minutes.
  • Capture complex discussions, deliberations, decisions and action items in a clear, concise and professional manner.
  • Monitor and follow up on matters arising from Board and Committee meetings to ensure timely resolution and reporting.
  • Support the preparation and review of Board papers, governance reports and meeting materials.
  • Liaise with Directors, Senior Management and internal stakeholders on governance and Board-related matters.
