We are seeking an experienced and driven Assistant Manager, Corporate Secretarial to join our team and support the corporate governance and secretarial matters of a public listed companies and private limited companies.
This role offers broader exposure beyond routine secretarial work - including listed-company governance, Board matters, regulatory compliance and corporate exercises.

Key Responsibilities
- Assist the Head of Corporate Communications & Administration with all company secretarial works for public listed companies and private limited companies.
- Supervise the secretarial staff on corporate secretarial works, inclusive of preparing and/or reviewing of resolutions and documents for lodgment at the relevant authorities and monitoring compliance with submission deadlines.
- Maintain and update the statutory books and records in compliance with the Companies Act, Bursa Malaysia's Listing Requirements and any other regulatory requirements.
- Organize and attend meetings of the board of directors, Board committees, and shareholders, including preparation of agenda, meeting papers and minutes.
- Liaise with regulators (SSM, Bursa Malaysia) and professional advisers.
- Attend and manage drafting or implementing all governance initiatives or practices, policies, and procedures relating thereto of the Group.
- Prepare relevant sections of the Company's Annual Report and other reports and analysis as required.
- Attend and manage drafting announcement and circular to shareholders
- Prepare and/or review legal documents (SPA, Non-Disclosure Agreements, Tenancy Agreements etc).
- Collaborate with all departments to ensure the relevant reporting is submitted on a timely basis.
- Undertake ad-hoc assignments aligned with business needs.
Qualification & Experiences
- CGI (ICSA) qualification. Associate Member of Chartered Governance Institute of Malaysia (CGI) will have an added advantage.
- Minimum 5 year of relevant corporate secretarial experience, preferably with exposure in public listed companies.
- Proficient in both written and spoken English.
- Good organizational, communication and time management skills.
- Proactive, meticulous and able to manage multiple engagements and work well under pressure.
- Good knowledge of the Companies Act 2016, SSM requirements, Listing Requirements, Malaysian Code on Corporate Governance and other relevant regulatory requirements.
- Experience in legal/corporate matters or due diligence will be an added advantage.
