We are seeking a skilled and dynamic Senior Counsel to provide legal support for commercial and operational matters. In this role, you will handle high-level contract negotiations, manage legal risks, and ensure compliance with industry regulations, collaborating with internal teams to drive business success.

Responsibilities include:

• Drafting, reviewing, and negotiating strategic business agreements and transactions.
• Reviewing, negotiating, and drafting various agreements, including customer contracts, supplier agreements, nondisclosure agreements, lease agreements, software agreements (licenses, SaaS, IaaS, PaaS), and other domestic and international commercial agreements.
• Collaborating with finance, project delivery, business development, and security teams to ensure legal compliance and mitigate risks related to commercial transactions, data privacy, and cybersecurity.
• Providing legal advice on digital projects, demonstrating entrepreneurial thought and action.
• Participating in negotiations with customers and suppliers, including structuring deals like joint ventures, strategic alliances, and R&D collaborations.
• Managing outside counsel relationships.
• Supporting litigation management, including reserves, reporting, and collaboration with regional counsels.
• Advising on threatened or potential litigation, debt collection, and insolvency issues.
• Informing commercial and product teams about legal risks and exposures.
• Leading training sessions on legal terms, conditions, and risks for sales and commercial teams.
• Promoting a culture of compliance and supporting related projects.

Qualifications for success:

• Licensed to practice law in the US, UK, or other relevant jurisdictions, with significant experience in a law firm or in-house legal department.
• Fluent in English, both written and verbal.
• Strong interpersonal and teamwork skills.
• Ability to simplify strategies into actionable steps, make decisions quickly, and communicate clearly.
• Understanding of applicable laws, regulations, risks, industry trends, and compliance landscape.
