Ardonagh is one of the world's largest and fastest-growing insurance distribution businesses. It owns several specialty distribution and underwriting services with consolidated annual revenues exceeding £2 billion. Ardonagh has substantial operations in the UK, including Specialty and P&C, and rapidly expanding P&C platforms in Europe, APAC, and Latin America. It is jointly owned by funds controlled by HPS Investment Partners, LLC, Madison Dearborn Partners, LLC, the Abu Dhabi Investment Authority, and management. Ardonagh Europe comprises several successful buy-and-build insurance intermediary businesses.

In 2023, Ardonagh established a new Italian trading company, Ardonagh Italia, to advance its growth strategy. Italy is a key part of Ardonagh’s European strategy due to its sizable and sophisticated insurance market. The aim of Ardonagh Italia, and Ardonagh Group generally, is to acquire and consolidate Italian insurance distribution platforms and establish a leading position in the Italian insurance distribution market. In 2024, Ardonagh Italia announced multiple acquisitions and new launches, becoming a Top 10 broker in Italy.

Purpose of the Role:

This role, within the Ardonagh Italia segment, will support its inorganic growth through executing a buy, build, and boost strategy. The Associate will be part of a small team of M&A and finance professionals, reporting to the M&A Director and working closely with the CFO of Ardonagh Italia and the M&A team of Ardonagh Europe.

Key Role Accountabilities:

  1. Support the identification of acquisition targets, and monitor and report on the acquisition pipeline.
  2. Conduct detailed financial analyses of targets, including valuation and synergy modeling.
  3. Develop business cases for acquisitions, including strategic rationale and fit.
  4. Prepare and present investment committee papers to support decision-making at the executive and board levels.
  5. Advise business unit leaders on acquisition evaluations and provide recommendations on impacts to business objectives and performance.
  6. Assist in managing and coordinating due diligence processes, including liaising with third-party advisors.
  7. Apply strategic thinking to evaluate new opportunities and develop the target pipeline.
  8. Support negotiations of transaction documents such as NDAs, Term Sheets, and SPAs.

Qualifications & Experience:

  • Bachelor's degree in Finance, Economics, Business Administration, or related; Master’s/MBA preferred.
  • At least 3 years experience in corporate development, investment, private equity, M&A advisory, or transaction services.
  • Fluency in Italian and English is essential.
  • Experience in the insurance industry is beneficial but not required.
