Greenvolt is seeking a Legal Specialist to join our team. The selected candidate will ensure full legal compliance and corporate governance across the Greenvolt Power Group companies in Italy. Responsibilities include managing corporate and commercial legal matters related to renewable energy project development, supporting daily operations, and coordinating with stakeholders.
Key Accountabilities
Corporate Matters
- Drafting minutes of general assemblies, management board meetings, decisions, and resolutions of company bodies.
- Maintaining the book of minutes for the management board.
- Keeping all company registers up to date, including court registry and beneficial ownership registers.
- Overseeing daily administration of all Greenvolt Power Group companies in Italy, including maintaining internal registers and correspondence, and providing legal assistance.
Commercial Matters
- Providing legal opinions and preparing commercial contracts related to renewable energy projects, including real estate, development, procurement, etc.
- Engaging with public administration as needed.
- Coordinating legal due diligence processes.
- Drafting, reviewing, and negotiating contracts such as sale and purchase, easements, supply agreements, service agreements, and M&A agreements.
- Offering legal advice on Italian civil, commercial, and administrative law.
- Preparing legal communications, reports, and presentations.
- Maintaining relationships with notaries and third parties.
- Managing legal deadlines and compliance systems.
Qualifications
- Master’s degree in law with completed lawyer/legal adviser apprenticeship.
- 3-5 years of experience in a law firm or as in-house counsel, focusing on contract, civil, and commercial law.
- Strong knowledge of corporate and transactional law.
- Familiarity with energy and administrative law regulations.
- Understanding of the renewable energy sector.
- Experience drafting and reviewing legal documents.
- Knowledge of procurement related to EPC, BOP, BOS, TSA, PV supply contracts.
- Fluent in Italian and English.
- Excellent interpersonal, communication, negotiation skills.
- Ability to work under pressure, meet deadlines, and travel if needed.
- Strong organizational and multitasking skills, with attention to detail.
