Angelini Pharma seeks a Director, Legal M&A to lead the legal strategy for mergers, acquisitions, divestitures, licensing agreements, and strategic partnerships across international markets.

You will advise senior leadership, manage deal execution, and ensure compliance with pharmaceutical regulations, IP considerations, and corporate governance. This role emphasizes cross-functional collaboration and strategic risk management.

Competenze

  • 10+ years of experience in M&A, corporate law, and strategic transactions.
  • Experience leading cross-border transactions from inception through closing.
  • Experience in pharmaceutical, healthcare, life sciences, or regulated industries is a strong advantage.

  • Draft, review, and negotiate LOIs, Term Sheets, SPAs, asset and merger agreements, and related documents.

At Angelini Pharma, we are committed to improving people's lives through innovation, science, and strategic growth. To support our ambitious development agenda, we are looking for an experienced Director, Legal M&A to join our Legal & Compliance team.

In this pivotal role, you will act as a trusted advisor to senior leadership, leading the legal strategy and execution of high-impact mergers, acquisitions, divestitures, licensing agreements, and strategic partnerships across international markets. You will work at the intersection of law, business, and innovation, contributing directly to the company's growth and transformation journey.

Key Responsibilities:
M&A Transaction Management
  • Lead end-to-end legal management of M&A transactions, including acquisitions, divestitures, joint ventures, and strategic alliances across all relevant jurisdictions.
  • Draft, review, and negotiate transaction documents including Letters of Intent (LOI), Term Sheets, Share Purchase Agreements (SPA), Asset Purchase Agreements, Merger Agreements, Shareholders' Agreements, and ancillary documents.
  • Manage and coordinate legal due diligence processes, identifying key legal risks and proposing appropriate mitigation strategies or contractual protections.
  • Coordinate with external law firms and advisors, ensuring quality, cost-effectiveness, and consistency of legal advice.
Corporate & Regulatory Compliance
  • Ensure all transactions comply with applicable corporate laws, antitrust/competition regulations, foreign investment rules, and sector-specific pharmaceutical regulations (EMA, national authorities, etc.).
  • Manage regulatory filings and notifications required in connection with M&A transactions (e.g., merger control filings, FDI reviews).
  • Monitor legislative and regulatory developments affecting M&A activity in the pharmaceutical and life sciences sector.
Business Partnering & Strategic Advisory
  • Act as a strategic legal advisor to senior management and the Business Development team, providing clear and pragmatic legal guidance on deal strategy and risk appetite.
  • Participate in deal screening and target evaluation from a legal risk perspective.
  • Support the CLCO in reporting to the Board and relevant committees on M&A-related legal matters.
Contracts & Intellectual Property
  • Oversee legal aspects related to IP rights (patents, trademarks, licences) in the context of M&A and licensing transactions.
  • Review and negotiate licensing and collaboration agreements with pharmaceutical partners, biotech companies, and research institutions.
  • Lead and mentor junior legal team members supporting M&A activities.
  • Manage relationships with external law firms, ensuring appropriate panel management and fee controls.
  • Contribute to the continuous improvement of legal processes, templates, and playbooks for M&A transactions.
Requirements:
Education
  • Qualified lawyer with a Master's Degree in Law and admission to practice (Italian Bar or equivalent EU qualification preferred).
  • 10+ years of experience in M&A, corporate law, and strategic transactions, gained within leading international law firms and/or multinational companies.
  • Proven track record of successfully leading complex cross-border transactions from deal inception through closing and integration.
  • Experience within the pharmaceutical, healthcare, life sciences, or highly regulated industries is a strong advantage.
Expertise
  • Deep knowledge of corporate law, M&A, contract law, competition/antitrust regulations, and corporate governance.
  • Strong understanding of legal due diligence processes and transaction documentation.
  • Familiarity with intellectual property and licensing matters within innovation-driven sectors.
  • Strategic thinker with strong business acumen and commercial awareness.
  • Exceptional negotiation, influencing, and stakeholder management skills.
  • Able to navigate complexity, manage multiple priorities, and make sound decisions under pressure.
  • Collaborative, proactive, and solution-oriented approach.
  • Highest standards of integrity, judgment, and professional ethics.

The salary for this role starts from €93,600 gross per year, depending on experience and location. The offer is determined based on gender-neutral criteria, including relevant skills, competencies, and experience.
