Our client is a leading Industrial Multinational Group, with over 70 years of experience, held by a Private Equity Fund, that operates internationally, with 5 sales offices, 1 R&D center, 5 laboratories, and 3 manufacturing plants with over 800 employees worldwide.

To support their growth and the establishment of a new global corporate management team, we are looking for a Group International Legal Counsel .

THE ROLE

To support the organization's growth, the company aims to bring in new professionals capable of fostering a more structured managerial culture to accelerate the group's formation process.

REPORTS TO : Group Chief Legal & Compliance Officer (based in France)

RESPONSIBILITIES :

To seamlessly negotiate and execute contracts, we are seeking a highly skilled Group Contract Counsel. The candidate must be hands-on in every stage of the contract lifecycle, from drafting and negotiation to implementation and renewal.

The candidate will operate within an international scope covering all Group subsidiaries and handle a wide range of topics, collaborating with a diverse group of stakeholders :

Contracts

  • Review, draft, and negotiate a wide range of customer and supplier contracts, confidentiality agreements, R&D agreements, etc., ensuring alignment with Group’s policies and objectives.
  • Be responsible for maintaining and updating contractual terms.
  • Create templates, guidelines, and training materials and identify opportunities to improve existing processes.
  • Collaborate with internal stakeholders throughout the organization to provide guidance on contracts and address key risks in contracts.

Risk Identification and Mitigation

  • Proactively identify potential risks in contractual terms and conditions and implement mitigation strategies.
  • Provide clear, actionable recommendations to internal teams to minimize exposure.

Negotiation Expertise

  • Lead contract negotiations with legal counterparts representing customers, suppliers, and other internal and external stakeholders.
  • Ensure all agreements comply with applicable laws and regulations while supporting Group’s business goals.

Guidance and Support :

  • Provide counsel to internal teams on contractual obligations, terms, and enforcement.
  • Establish contract management best practices across the organization.

The person carries out all responsibilities in accordance with the values of integrity and ethics, as well as the standards outlined in our Code of Conduct and Compliance Management System.

PROFILE :

The ideal candidate has the following experience and skills :

  • General business and contract law experience of 4 / 5 years gained preferably within both a reputable law firm and international groups, ideally with some experience in the industry sector.
  • Proactivity, autonomy, organizational skills, as well as rigor, curiosity, adaptability, and a project-driven mindset, enabling success in the missions.

ACADEMIC BACKGROUND :

Master’s degree in law with a specialization ideally in Business Law, Contract Law, and Corporate Law.

LANGUAGES :

Excellent written and oral communication skills in English (with any other languages being desirable, especially Italian and French).
