We are looking for a Legal Counsel specializing in corporate governance and commercial contracts to join the legal team of an investment company based in Milan. In this role, you will support the company’s legal activities, ensuring compliance while protecting business interests. You will be engaged in key corporate and contractual operations, working closely with internal departments and external advisors.

Responsibilities

Your responsibilities will include managing corporate governance for group companies, drafting and maintaining board and shareholders’ meeting minutes, updating bylaws, and managing powers of attorney. You will also draft, review, and negotiate a wide variety of domestic and international commercial agreements, including supply, distribution, NDA, license, partnership, service, and consultancy contracts. The role will involve providing legal support for extraordinary transactions such as M&A, restructurings, and due diligence, monitoring relevant legislation, and offering internal legal advice on corporate and contractual matters.

Qualifications

The ideal candidate will hold a law degree and have three to five years of experience in a law firm or the legal department of a structured company. You should have strong knowledge of corporate governance, corporate law and commercial contracts, with the ability to work independently and as part of a team while maintaining a pragmatic, business-oriented approach. Excellent English skills, both written and spoken, are essential, and knowledge of Arabic would be an asset. The role requires high attention to detail, confidentiality, and the ability to manage multiple priorities effectively.
