Job summary

Accenture Bengaluru seeks an experienced technology transactions lawyer to review global software products, assess legal risks, and craft strategies to bring offerings to market compliantly and strategically.

You will collaborate with business teams and legal SMEs across geographies, draft and negotiate SaaS, data licensing, IP, and privacy agreements, and develop templates and training to scale risk management.

Qualifications

  • Minimum of 5 years of relevant experience in a corporate or law firm setting, ideally advising on software including AI.
  • Knowledge of SaaS, Software License, and AI-related contract structures.
  • Experience drafting and negotiating technology-focused client-facing and/or vendor-facing agreements (data licensing, SaaS, cloud, software licenses, or software development).
  • Working knowledge of data and security privacy issues; IP law; OSS licensing; and product development considerations.
  • Interest in legal enablement of AI and collaboration with global teams.

Responsibilities

  • Review global software products and provide practical legal risk analyses, mitigation strategies, and enable products to go to market in a legally compliant and strategic manner.
  • Work with Business teams and legal SMEs to evaluate technology and use cases for new products, including reviewing inbound technology, data supply, regulatory challenges and templates in different geographies.
  • Develop clear communication messages, guidance, templates and trainings regarding technology/data components of products for go-to-market teams and development teams.
  • Assist in design and implementation of tools and processes to enhance risk assessments and coordination with business and other legal colleagues.
  • Guide transaction teams on operational and contractual measures before deal closure to preserve productization.
  • Collaborate with teams within GSL and across legal, including Resale, Strategic Partnering, IP, Data Privacy, Regulatory and Contracting.
  • Support the Contracting team as product counsel and SME regarding playbooks, templates and deal support.
  • Assist the team with legal research.
  • Support development and improvement of processes, tools and efficiency initiatives, including decks and guidance materials.

Job description

Key Responsibilities
  • Review global software products and provide practical legal risk analyses, mitigation strategies, and enable those products to go to market in a legally compliant and strategic manner.
  • Work with Business teams and legal SMEs to evaluate the technology and use cases related to new products, including reviewing inbound technology, data supply, regulatory challenges and internal client facing templates in different geographies.
  • Develop clear communication messages, guidance, templates and trainings regarding the technology/data components of products for go to market teams, development teams and the rest of the Legal organization on how to bring software products to market in a legally compliant and strategic manner.
  • Help in design and implementation of tools and processes to enhance request management, legal risk assessments and coordination with business and other legal colleagues.
  • Preserve path to productization by providing guidance to transaction teams on operational and contractual measures to take before deal closure.
  • Collaborate with other teams within GSL and across legal, including colleagues in Resale, Strategic Partnering, Intellectual Property, Data Privacy, Regulatory and Contracting teams
  • Support the Contracting team as product counsel and subject matter expert regarding playbooks, templates and occasional deal support.
  • Assist the team with legal research.
  • Support the development, review maintenance and improvement of processes, tools and efficiency initiatives across the team, which may include producing PowerPoint decks, workplans, and guidance materials.
Knowledge, Skills and Experience
  • Minimum of 5 years of relevant experience in a corporate or law firm setting, ideally advising on software including AI
  • Knowledge of SaaS, Software License, and AI- related contract structures preferred
  • Technology transactional experience either in drafting and negotiating technology focused client-facing and/or vendor-facing agreements (i.e. data licensing, software as a service agreements, cloud, software license agreements, or software development agreements).
  • Working knowledge of: (a) data and security privacy issues; (b) IP law; (c) OSS licensing; and (d) general product development considerations. Understanding connection between in-bound agreements and client-facing agreements.
  • Appetite for tech enablement of legal, including exploring the capacity and implementation of legal AI agents
  • High degree of organization with the ability to manage multiple workstreams
  • Fluency in English with strong oral and written communication skills and the ability to collaborate with global and cross-functional teams
  • Proficiency using Microsoft Office applications (e.g. Excel, Word, PowerPoint, SharePoint)
