Role Purpose

The Legal Manager will be responsible for managing legal, contractual, regulatory and dispute-related matters for the logistics business. The role will provide legal support across transportation, fleet operations, warehousing, 3PL contracts, customer/vendor agreements, commercial transactions, claims, labour matters and regulatory compliance while minimizing legal and commercial risks to the organization.

Key Responsibilities

• Provide legal advice to business teams on logistics, transportation, warehousing, supply chain and commercial operations.
• Draft, review and negotiate customer agreements, transportation contracts, 3PL agreements, warehousing agreements, vendor contracts, fleet/vendor agreements, service agreements, NDAs, MoUs and commercial agreements.
• Review contractual terms relating to SLA, liability, indemnity, insurance, penalties, damages, limitation of liability, termination and dispute resolution.
• Identify contractual and legal risks and recommend appropriate risk-mitigation measures.
• Manage legal matters relating to transporters, fleet owners, vendors, suppliers, customers, warehouse operators and logistics partners.
• Handle commercial disputes, claims, arbitration, litigation and legal notices, in coordination with external advocates/counsels.
• Support resolution of cargo loss/damage, transit claims, delivery disputes, detention/demurrage and service-level disputes, wherever applicable.
• Advise on insurance-related legal matters, including cargo/transit claims and third-party liability.
• Provide legal support for warehouse leases, property agreements, licenses and related documentation.
• Advise HR and operations teams on employment-related legal matters, labour disputes and contractor/workforce issues, in coordination with HR.
• Monitor applicable transportation, logistics, commercial, labour, environmental and other regulatory requirements affecting business operations.
• Support compliance relating to Motor Vehicles Act / applicable transport regulations, e-way bill and GST-related contractual matters, permits, licenses and state-specific transportation requirements, in coordination with relevant functions.
• Conduct legal due diligence for new logistics locations, warehouses, vendors, strategic partnerships and business arrangements.
• Coordinate with government authorities, regulators, external legal counsel, customers, vendors and internal stakeholders.
• Maintain contract databases, litigation trackers, legal notices, claims and legal documentation.
• Develop and maintain standard legal templates, contractual clauses and SOPs for logistics operations.
• Conduct legal awareness sessions for business and operations teams on contractual obligations, legal risks and compliance requirements.
• Support senior management in legal risk assessment, governance and strategic business decisions.

Mandatory Experience / Skills

• 812 years of relevant legal experience, preferably with substantial exposure to the Logistics / Transportation / Supply Chain / Warehousing / 3PL sector.
• Strong experience in commercial contract drafting, review and negotiation.
• Hands-on experience with transportation/logistics agreements, customer contracts, vendor agreements and service contracts.
• Experience handling commercial disputes, arbitration, litigation and legal notices.
• Understanding of cargo/transit claims, indemnity, liability, insurance and contractual risk.
• Exposure to warehouse/property agreements and operational legal matters.
• Working knowledge of applicable transport, commercial, labour and regulatory laws.
• Strong coordination experience with external counsel, government authorities, customers, vendors and internal stakeholders.
• Excellent legal drafting, negotiation, analytical and communication skills.
