Job Description for Legal Associate
The DHFIN Group comprises of three verticals - Asset Management, Alternative Investment Fund and Financial Advisory. We provide comprehensive financial and advisory services to corporates at various stages of their lifecycle. Our core services constitute buyout and management of stressed assets, the revival of companies under insolvency and liquidation.
Office Location: Ground Floor, DLF Building No. 5, Tower B, Phase II, Cyber City, Gurugram.
Timings: 10:00 AM to 6:30 PM.
Working Days: Monday to Saturday (except Second and Forth Saturdays)
Expected Date of Joining: Immediate
Remuneration: Starting from Rs.50,000 Per Month (Based on experience and skills)
Probation Period : Till 6 months
Job Description:
We are seeking a skilled Legal Associate to join our team and provide comprehensive legal support to our company and our Alternative Investment Funds (AIFs). The ideal candidate will possess a strong understanding of financial transactions, corporate law, regulatory compliance for financial entities including AIFs and NBFCs. They will be responsible for drafting legal documents including but limited to Share Purchase Agreements, Term Sheets, Subscription Agreements, maintaining investment files, managing investor relations, and ensuring compliance with Companys law, SEBIs regulations, RBI regulations, IBC, PMLA, FEMA, etc.
Key Responsibilities:
- Deep Understanding of Financial Transactions: Utilise knowledge of financial transactions to provide legal support and advice.
- Drafting Legal Documents: Prepare Term Sheets, Sanction letters, authorization letters, Power of Attorneys, Subscription agreements, Contribution Agreements, addendums, lease deeds, , and other legal corporate documents as required.
- Investment Portfolio Management: Maintaining, organising and updating up-to-date, investment files for efficient reference and compliance purposes.
- Maintaining Investor Relations: Cultivate and manage relationships with investors of the company, ensuring effective communication and satisfaction.
- Legal Drafting: Prepare legal documents such as replies to legal notices, affidavits, power of attorney, and NCLT applications.
- Working Knowledge of IBC: Demonstrate familiarity with the Insolvency and Bankruptcy Code (IBC) read with relevant regulations, and its application in relevant legal matters.
- AIF Structure Understanding: Understand the structure of an Alternative Investment Fund (AIF) under SEBI regulations, ensuring compliance and adherence to regulatory requirements.
- NBFC compliance: Deep understanding of regulatory compliances applicable to NBFCs
- Corporate Due Diligence and KYC: Conduct corporate due diligence and Know Your Customer (KYC) procedures to ensure legal compliance and risk mitigation.
Candidates should have:
- 2-5 years of relevant legal experience, preferably in a financial services firm, AIF, NBFC, or law firm with exposure to fund structuring, corporate finance, or insolvency.
- Strong drafting and negotiation skills, with demonstrable experience in preparing and reviewing:
- - Term Sheets and Subscription Agreements (for NCDs, CCDs, and equity)
- - Debenture Trust Deeds and Security Documents
- - Investment and Shareholder Agreements
- - Settlement Agreements and MoUs (particularly in the context of IBC recoveries)
- - Resolution Plans under the IBC framework (including drafting of funding structures and undertakings)
- - Side Letters and Indemnity Bonds
- - Offer Letters and Binding Offers (especially for asset acquisitions or Swiss challenge processes)
- - Legal Notices and responses in commercial disputes
- Familiarity with financial and regulatory frameworks, including SEBI AIF Regulations, Companies Act, IBC, FEMA, and RBI NBFC Guidelines.
- Understanding of compliance and governance norms applicable to AIFs, including:
- - Investor undertakings and declarations
- - Cybersecurity policy and data protection norms
- - Board and investment committee resolutions
- - ROC filings and MCA compliance post-resolution plan implementation
- Experience coordinating with external counsels, advisors, and compliance consultants, and reviewing their opinions or drafts.
- Attention to detail, ability to manage multiple transactions, and maintain robust documentation and tracking of timelines, CPs, and closing conditions.
- Proficiency in MS Word, Excel, and basic PowerPoint (for preparing internal notes and presentations).
- Excellent written and verbal communication skills for dealing with counterparties, regulators, and internal stakeholders.
