  • Coordinate Board, Committee and General Meetings; draft notices and resolutions.
  • Draft legal notices, contracts, and provide advisory on regulatory matters.

About the Role

Raay Neo Pharma is seeking a qualified and experienced professional to manage corporate compliance, legal matters, intellectual property, labour-related issues, and regulatory coordination. The ideal candidate should be a qualified Company Secretary with an LL.B. degree and experience in the pharmaceutical or healthcare industry.

The role requires strong knowledge of the Companies Act, FEMA, corporate secretarial practices, legal drafting, trademark matters, labour laws, and coordination with advocates, consultants, and regulatory authorities.

Key Responsibilities
Corporate Compliance
  • Manage day-to-day compliance under the Companies Act, 2013, applicable rules, FEMA, RBI regulations, and other relevant laws.
  • Handle compliance requirements for the company and group entities.
  • Prepare and file statutory forms, returns, and event-based compliances with the MCA, ROC, RBI, and other authorities.
  • Maintain statutory registers, records, minutes books, and other secretarial documents.
  • Monitor compliance calendars and ensure timely completion of statutory obligations.
  • Prepare annual returns, Directors Reports, board resolutions, and compliance reports.
  • Assist in secretarial audits, due diligence exercises, and preparation of compliance certificates.
Board and General Meetings
  • Coordinate Board Meetings, Committee Meetings, and General Meetings.
  • Draft and circulate notices, agendas, resolutions, explanatory statements, and minutes.
  • Ensure proper documentation and follow-up on decisions taken by the Board and management.
  • Coordinate with directors, auditors, consultants, and senior management on governance matters.
FEMA and RBI Compliance
  • Manage applicable FEMA and RBI compliances relating to foreign investments and transactions.
  • Prepare and file forms such as FC-GPR, FC-TRS, FLA returns, and other applicable reports.
  • Coordinate with authorised dealer banks and external consultants for foreign exchange-related matters.
  • Maintain supporting documents and records for regulatory submissions.
Legal Drafting and Advisory
  • Draft, review, and issue legal notices, replies, affidavits, undertakings, powers of attorney, and other legal documents.
  • Draft and review commercial agreements, vendor agreements, consultancy agreements, confidentiality agreements, and business-related contracts.
  • Provide legal guidance to internal departments on routine business and operational matters.
  • Identify potential legal risks and advise management on appropriate mitigation measures.
  • Coordinate with external advocates and legal consultants on litigation and other legal matters.
Intellectual Property and Trademark Matters
  • Conduct internal and official searches for proposed brands and trademarks.
  • Coordinate filing of new trademark applications with the Trademark Registry.
  • Prepare or coordinate replies to examination reports, oppositions, counterstatements, renewals, and related filings.
  • Monitor trademark journals and maintain records of the company’s intellectual property portfolio.
  • Coordinate with external trademark counsel and consultants.
Pharmaceutical Industry Compliance
  • Coordinate with relevant regulatory bodies, consultants, advocates, and government authorities on legal and compliance matters.
  • Support compliance activities relating to pharmaceutical marketing, product documentation, licensing, and business operations, as applicable.
  • Liaise with internal departments to understand and address legal or regulatory issues.
  • Ensure that business activities are conducted in accordance with applicable laws, internal policies, and regulatory requirements.
Qualifications
  • Qualified Company Secretary from the Institute of Company Secretaries of India.
  • LL.B. degree is mandatory.
  • B.Com. or equivalent graduation qualification preferred.
Experience
  • Approximately 3–5 years of relevant experience in corporate secretarial, legal, and compliance functions.
  • Experience in a pharmaceutical, healthcare, manufacturing, or other regulated industry is preferred.
