The candidate should have ICSI membership, a recognised degree, and preferably an LLB. The position emphasizes ethics, cross‑functional collaboration, and timely advisory delivery.

Qualifications

  • Qualified member of the Institute of Company Secretaries of India.
  • Graduate from a recognised university in India.
  • LLB is desirable.

Responsibilities

  • Initiate, drive process rigor and accuracy, execute and manage compliance under Corporate & Other Laws.
  • Compliance with RBI requirements and liaising with MCA, ROC, RBI and other authorities.
  • Convene Board and General Meetings, prepare agendas and minutes.
  • Implement Corporate Governance processes and ensure statutory filings.
  • Provide legal support on contracts, regulatory matters, policy and processes under Head of Legal India.
  • Advise boards and guide other functions on corporate law and FEMA.

Job Summary
  • Company Secretarial Functions – Ensure that all the applicable / statutory provisions under Indian Companies Act, 2013, rules and regulations framed thereunder (CA) Foreign Exchange Management Act, 1999, rules and regulations framed thereunder (FEMA) and other laws rule and regulations applicable to a company operating in a regulated sector are taken care of on timely and proper manner.
  • Support Services to Legal Department- Provide support services on legal matters, including contracts, regulatory, and other legal support to the business and as directed by Head of Legal, India and within the mandate of the Legal Affairs department.
Job Responsibilities
  • Initiate, drive process rigor and accuracy, execute and manage compliance under Corporate & Other Laws.
  • Compliance with requirements of RBI.
  • Compliances and liaising with the Ministry of Corporate Affairs, Registrar of Companies, the Reserve Bank of India and other statutory authorities.
  • Convening Board Meetings and General Meetings, preparing agenda and minutes.
  • Implementing of Corporate Governance processes.
  • Adhere to all rules and regulation concerning the company practices and procedures.
  • Supporting compliance with all statutory requirements and working with internal and external agencies to carry out legal compliance checks.
  • Guide other functional members on the Corporate Law (including CA and FEMA) on issues related to document management, litigation holds, litigation strategy, and document management process improvements.
  • Advise Board of Directors on key managerial and corporate governance issues.
  • Make requisite regulatory filings.
  • Provides legal support services within the mandate of the Legal Affairs department, at the direction/instruction of Head of Legal India, including in relation to:
    • Commercial Contract Management;
    • Regulatory;
    • Policy and Processes .
Job Requirements
Education
  • Qualified member of the Institute of Company Secretaries of India.
  • Graduate from any recognised Universities of India.
  • LLB (desirable)
Knowledge, Skills and Abilities
  • Candidate with experience in providing Company Secretarial support to Healthcare, Research organizations and / or Consulting Companies would be preferred
  • Unyielding commitment to ethics & high personal integrity and impeccable professional ethics.
  • Strong interpersonal skills and ability to build collaborative business relationships and the ability to work collaboratively with cross-functional teams.
  • Excellent written and verbal communication.
  • Ability to thoroughly evaluate alternatives, innovate problem resolution, employ a pro‑active approach, and take initiative to resolve problems.
  • Attention to detail and ability to provide timely advice in a fast‑paced, entrepreneurial environment.Ability to communicate effectively and inspire confidence in teams, executive management, and peers.
  • Effective and efficient delivery of top‑quality Company Secretarial and Compliance services along with providing legal support services in the corporate environment
Experience
  • Approximately 4-5 years of experience with the above responsibilities.
