HEAD CAPITAL DEBT RESTRUCTURING

ROLE OVERVIEW
A leading financial services and investment banking institution is looking to appoint a seasoned Head – Capital Debt Restructuring to lead and scale its Capital Debt Restructuring / Debt Resolution business.
The incumbent will report directly to the Managing Director and will have end-to-end responsibility for leading complex debt restructuring, capital reorganisation and stressed-asset resolution mandates.
The role will oversee an existing portfolio of approximately 70,000 Crore and will be responsible for strengthening the institution's position in the debt restructuring, stressed assets and corporate resolution ecosystem.
This is a senior business leadership position requiring a combination of deep restructuring expertise, transaction leadership, institutional relationships, business origination, commercial acumen and exceptional stakeholder-management capabilities.
KEY RESPONSIBILITIES
1. Business & Franchise Leadership
- Lead the Capital Debt Restructuring / Debt Resolution business as the senior-most functional leader.
- Develop and execute the strategy for scaling the restructuring and stressed-assets franchise.
- Provide strategic oversight of the existing ~70,000 Crore portfolio.
- Originate and develop new large-ticket restructuring and resolution mandates.
- Build a strong and sustainable pipeline of corporate debt restructuring, stressed-asset and special-situation opportunities.
- Drive revenue growth, profitability and market positioning of the business.
2. Debt Restructuring & Capital Reorganisation
- Lead complex corporate debt restructuring transactions involving multiple lenders and stakeholders.
- Structure sustainable debt solutions based on the underlying business, cash flows, capital structure and long-term viability of the borrower.
- Advise corporates and lenders on capital structure optimisation, refinancing, restructuring and liability management.
- Evaluate and structure appropriate debt reorganisation and capital solutions.
- Lead negotiations between promoters, lenders, investors and other stakeholders.
3. Stressed Assets & Resolution Advisory
- Lead advisory mandates involving stressed and distressed businesses.
- Develop appropriate resolution strategies including restructuring, refinancing, OTR, IBC/NCLT processes, debt sale/assignment and other resolution mechanisms.
- Advise lenders and institutional stakeholders on strategies to maximise recovery and preserve enterprise value.
- Evaluate distressed-asset opportunities and special-situation transactions.
- Work with ARCs, AIFs, special-situation funds and institutional investors on distressed-asset opportunities.
4. Institutional & Stakeholder Relationships
Build and maintain senior-level relationships with:
- Public and private sector banks
- Financial institutions
- Asset Reconstruction Companies
- AIFs and special-situation funds
- Institutional investors
- Corporate promoters and management teams
- Resolution Professionals and Committees of Creditors
- Legal, financial and technical advisors
- Other relevant institutional stakeholders
The incumbent will be expected to operate comfortably at the Promoter / Board / MD / CEO / CXO level.
5. Transaction Execution
- Provide strategic oversight across the entire transaction lifecycle from origination through closure.
- Lead multidisciplinary teams comprising financial, legal, technical and transaction professionals.
- Review financial models, viability assessments, restructuring proposals, valuation analyses and resolution plans.
- Ensure timely and effective execution of large and complex mandates.
- Maintain strong governance and ensure adherence to applicable regulatory and internal frameworks.
6. Business Development & Revenue Generation
- Develop a strong network of prospective corporate and institutional clients.
- Convert relationships, market intelligence and sector insights into actionable mandates.
- Originate large-ticket transactions across restructuring, stressed assets, special situations and debt resolution.
- Take ownership of business targets and revenue generation.
- Develop differentiated advisory solutions to enhance the institution's competitive positioning.
7. Team Leadership
- Build, mentor and lead a high-calibre restructuring and debt-resolution team.
- Develop strong transaction execution capabilities and processes.
- Establish appropriate standards for financial analysis, structuring, valuation and resolution strategy.
- Build a culture of accountability, commercial orientation and execution excellence.
- Develop future leadership within the business.
IDEAL CANDIDATE PROFILE
The ideal candidate should be a senior Debt Restructuring / Stressed Assets / Special Situations / Corporate Finance / Investment Banking professional with extensive experience in handling large and complex corporate debt situations.
The candidate should possess:
- Deep expertise in corporate debt restructuring and capital reorganisation.
- Proven experience handling large-ticket restructuring / stressed-asset mandates.
- Strong understanding of debt resolution frameworks and insolvency processes.
- Experience dealing with multiple lenders and complex stakeholder structures.
- Strong relationships across banks, financial institutions, ARCs, AIFs and institutional investors.
- Exceptional negotiation and stakeholder-management capabilities.
- Strong financial analysis, valuation and transaction-structuring skills.
- Demonstrated business-development and mandate-origination capabilities.
- Ability to independently lead complex transactions from origination to closure.
- Strong leadership and people-management capabilities.
EXPERIENCE
18–25+ years of relevant experience across one or more of the following:

- Corporate Turnaround / Restructuring

EDUCATION
CA / MBA (Finance) / CFA / CAIIB or equivalent professional qualification from a reputed institution.
