Job summary

Soroco, Bangalore-based, seeks a commercially minded General Counsel to lead legal and compliance. You will support the Board and executive leadership, managing enterprise contracting, privacy, IP, employment, and regulatory matters on a global technology platform.

You will drive governance, strategy, and risk management while partnering with product, security and finance teams to enable rapid growth with strong controls.

Qualifications

• 12+ years of post‑qualification legal experience, with significant in‑house experience in technology/SaaS/high‑growth business.
• Demonstrated ownership of complex enterprise commercial negotiations with sophisticated global customers.
• Strong working knowledge of data privacy, cybersecurity contracting, IP and technology law; familiarity with AI governance is preferred.

Responsibilities

• Lead drafting, review and negotiation of complex enterprise technology agreements (SaaS, software licensing, services, SLAs).
• Own legal support for major customer/partner negotiations balancing commercial objectives with risk.
• Develop and maintain templates, playbooks and contract lifecycle processes.
• Advise product and business teams on legal issues from product functionality, licensing models, customer commitments and disputes.
• Lead data privacy compliance across GDPR, CCPA, and India’s DPDPA; advise on cross-border data transfers.
• Partner with product, engineering and security on privacy-by-design and data governance.
• Provide governance for information‑security frameworks and customer assurance programs (SOC 2, ISO 27001).
• Develop and maintain AI governance frameworks, policies and risk assessments for AI-enabled products.

Soroco is looking for acommercially minded, hands‑on General Counsel to lead the company’s legal andcompliance function. The role will serve as a trusted advisor to the Board andexecutive leadership while remaining closely involved in day‑to‑day executionacross enterprise contracting, corporate governance, privacy and security, IP,employment, strategic transactions and regulatory matters. The ideal candidatecombines strong judgment and business orientation with the ability toindependently drive complex legal matters in a fast‑moving global technologyenvironment.

KeyResponsibilities

Commercial & Product

• Lead the drafting,review and negotiation of complex enterprise technology agreements, includingSaaS, software licensing, services, SLAs, procurement, reseller/distributionand strategic partnership arrangements.
• Own legal support for major customer and partnernegotiations, balancing commercial objectives with appropriate risk allocation.
• Develop andmaintain standard templates, contracting playbooks and escalation positions;improve contracting processes and contract lifecycle management.
• Advise product andbusiness teams on legal issues arising from product functionality, licensingmodels, customer commitments and disputes.

Privacy,Security & AI Governance

• Lead data privacycompliance across relevant global regimes, including GDPR, CCPA and India’sDPDPA, and advise on cross-border data transfers and data processingarrangements.
• Partner withproduct, engineering and security teams on privacy‑by‑design, data governance,security incidents and customer security requirements.
• Provide legal andcompliance leadership for information‑security frameworks and customerassurance programs, including SOC 2 and ISO 27001‑related workstreams.
• Develop andmaintain practical AI governance frameworks, policies and risk assessments forthe responsible development and deployment of AI‑enabled products.

Corporate,Governance & Strategic Transactions

• Advise the Boardand executive leadership on corporate governance, fiduciary duties, entitystructure, risk and significant corporate matters.
• Manage corporatestructuring and reorganizations across jurisdictions, coordinating with tax,finance and external advisors as required.
• Lead or supportM&A, fundraising and other strategic transactions, including term sheets,diligence, transaction documents, closing and post‑closing matters.
• Oversee equity‑relatedlegal matters, including ESOP documentation, shareholder matters andcoordination on cap‑table governance.

IP,Employment & Compliance

• Own legal strategyfor trademarks, copyrights, patents, trade secrets and IP licensing, workingwith specialist external counsel where appropriate.
• Advise HR andleadership on employment agreements, policies, separations, compensationarrangements, workplace matters and POSH compliance.
• Support financeand leadership on tax‑sensitive legal structuring, transfer‑pricingconsiderations and other cross‑functional compliance matters.
• Manage materialdisputes, investigations and regulatory issues, including coordination withexternal counsel.

LegalLeadership & Operations

• Own the overalllegal and compliance agenda, prioritization and risk‑management framework forthe business.
• Build scalablelegal processes, knowledge systems, training programs and internal policiesthat enable business teams to move quickly with appropriate controls.
• Manage externalcounsel, legal budgets and specialist advisors; recruit and developlegal/compliance team members as the function grows.
• Operate as apragmatic business partner who can distinguish material risk from theoreticalrisk and provide clear, actionable recommendations.

Requirements

• 12+ years ofpost‑qualification legal experience, with significant in‑house experience in atechnology, SaaS, software or high‑growth business.
• Demonstrated ownership of complex enterprise commercialnegotiations with sophisticated global customers and counterparties.
• Strong workingknowledge of data privacy, cybersecurity contracting, IP and technology law;familiarity with AI governance is strongly preferred.
• Meaningfulexperience advising senior executives and Boards on governance, corporate riskand strategic matters.
• Experience withcorporate transactions such as M&A, fundraising, reorganizations or equityprograms is highly desirable.
• Ability to workindependently across a broad legal remit, move between strategic andexecution‑level issues, and manage multiple high‑priority matterssimultaneously.
• Strong drafting,negotiation and stakeholder‑management skills, with a practical andcommercially oriented approach to risk.
• LL.B./B.A. LL.B.or equivalent law degree from a recognized institution; qualification topractice law in India or another relevant jurisdiction preferred.
