Job summary

Windy Street Advisory LLP is seeking a Senior Consultant/Deputy Manager in Gurgaon (Hybrid) with 2-6 years of financial due diligence experience. You will participate in M&A engagements, analyze financial statements, and support deal structuring and reporting to clients and lenders.

Ideal candidates have CA/MBA/CFA qualifications with strong Excel modelling skills and the ability to manage multiple engagements in a fast-paced environment.

Qualifications

• CA/MBA/CFA with 2-6 years of post-qualification experience in financial due diligence.
• Hands-on experience analysing financial statements on due diligence projects.
• Strong Excel-based financial modelling and valuation techniques.

Responsibilities

• Participate in complex M&A engagements and related due diligence.
• Summarise and analyse financial information from income statements and balance sheets.
• Review target company financials and interview management for insights.
• Analyse forecast data and model assumptions for valuation accuracy.
• Identify issues affecting purchase price, deal structure, or termination.
• Prepare/Review data books covering revenue, margins, working capital, and valuations.
• Guide junior team members and develop training materials.
• Draft diligence reports for clients and lenders.
• Maintain client relationships across regions with clear communication.

Key Responsibilities / Job Description:

• Participating in M&A engagements and being part of engagements, which are complex and critical.
• Summarizing and analyzing financial/accounting information relating to income statement, balance sheets, profitability data, quality of earnings, quality of net assets etc.
• Analysis of financial results of target companies by reviewing their accounting records and conducting interviews with management
• Analyzing forecast financial information and projections to evaluate the appropriateness of assumptions utilized for the preparation of the model.
• Identifying issues for the purchase price reduction, deal structuring or deal termination
• Preparing/Reviewing excel data books analyzing revenue, margins, costs, assets, liabilities, net working capital trends, valuation model input assumptions, analysis of forecasts etc.
• Assessing the work of junior team members, providing training, and creating training materials.
• Drafting financial diligence reports for sharing with clients/lenders
• Building relationships with clients across the globe and developing open communication channels

Pre-requisites:

• CA/MBA/ CFA with 2-6 years of post-qualification experience in financial due diligence, preferably in M&A transactions.
• Currently working on financial due diligence projects with hands-on experience analysing financial statements.
• Strong proficiency in managing large financial datasets, Excel-based financial modelling, and valuation techniques.
• Exceptional analytical skills with a keen eye for identifying financial risks and opportunities.
• Excellent verbal and written communication skills to effectively interact with senior stakeholders and clients.
• Experience working in a fast-paced, high-pressure environment with the ability to manage multiple engagements simultaneously.
