Job summary

Mercor in Mumbai is seeking an experienced in-house corporate development professional to own end-to-end M&A work, including building valuation models and drafting term sheets. You will produce board-ready materials and manage diligence, integration planning, and post-deal analyses.

Candidates should have 4+ years in an operating company’s corporate development or M&A function, with hands-on experience leading live transactions.

• 4+ years in an in-house corporate development or M&A role at an operating company.
• Hands-on ownership of live transactions end to end, not support work.

Responsibilities

• Build valuation and merger models: three-statement, DCF, comps, accretion/dilution, cap table and equity waterfall.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure and economics.
• Produce process and board materials: management presentations, data packs, buyer universes, board/committee decks, closing mechanics and funds flow.
• Run screening, diligence and integration work: inbound deal screens, diligence lists, findings synthesis, synergy models, carve-out analysis, 100-day plans.

About the work

We're building a high-quality library of in-house corporate development work products. You'll complete self-contained M&A exercises from mock files (CIMs, diligence reports, term sheets, board decks) and produce the deliverable for each, graded against a rubric.

What you’ll do

• Build valuation and merger models: three-statement, DCF, trading and transaction comps, accretion-dilution, cap table and equity waterfall.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure and consideration economics.
• Produce process and board materials: management presentations, data packs, buyer universes, board and committee decks, closing mechanics and funds flow.
• Run screening, diligence and integration work: inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, 100-day plans.

You're a fit if you have

• 4+ years in an in-house corporate development or M&A role at an operating company.
• Hands-on ownership of live transactions end to end, not support work.

Nice to have

• Investment banking or private equity background before moving in-house; Big 4 transaction advisory or financial due diligence.
