CIEL HR invites a seasoned financial executive to spearhead IPO strategy, governance, and capital-structure planning for listing. You will coordinate with bankers, auditors, registrars, and regulators, advising the Board on timing, valuation, and strategy across the IPO lifecycle.

The role oversees financial reporting, internal controls, investor relations, and strategic finance initiatives, driving capital allocation and risk management through pre- and post-listing phases.

Qualifications

  • Experience in IPO strategy, planning, and execution.
  • Strong grasp of Ind AS/IFRS/GAAP as applicable to Indian listings.
  • Proven ability to coordinate with bankers, auditors, lawyers, and regulators.
  • Ability to advise Board on timing, valuation, and listing strategy.
  • Experience in fundraising and working with PE/institutional investors.
  • Track record of strengthening internal controls and financial reporting.
  • Expertise in tax optimization and regulatory interactions prior to listing.
  • Experience with DRHP/disclosures and data room management.
  • Leadership in risk management and governance frameworks.
  • Experience with post-listing investor communications and market expectations.

Job Responsibilities
1. IPO Strategy & Planning
  • Develop and lead the overall IPO strategy, roadmap, and execution timeline.
  • Assess IPO readiness and identify gaps in processes, governance, financial reporting, and internal controls.
  • Coordinate with investment bankers, legal advisors, auditors, registrars, and other key stakeholders.
  • Advise the Board and promoters on optimal timing, valuation, and listing strategy.
2. Financial Reporting & Compliance
  • Ensure compliance with applicable accounting standards, including Ind AS, IFRS, and GAAP, as relevant.
  • Oversee the preparation of audited and restated financial statements.
  • Strengthen financial controls, reporting frameworks, and management information systems.
  • Ensure compliance with applicable regulatory requirements of stock exchanges and securities regulators.
3. Corporate Governance
  • Establish and strengthen robust corporate governance practices across the organization.
  • Support the formation and effective functioning of Board Committees, including the Audit and Risk Committees.
  • Develop and implement policies relating to internal controls, ethics, risk management, and disclosures.
  • Promote transparency, accountability, and sound governance practices.
4. Fundraising & Capital Structure
  • Optimize the companys capital structure in preparation for the IPO.
  • Lead pre-IPO fundraising initiatives and engage with private equity and institutional investors.
  • Manage debt restructuring and working capital requirements.
  • Develop strategies for the efficient allocation and utilization of IPO proceeds.
5. Investor Relations
  • Build and maintain strong relationships with institutional investors, analysts, and other key stakeholders.
  • Prepare investor presentations, roadshow materials, and compelling financial narratives.
  • Effectively communicate the companys growth strategy, financial performance, and investment proposition.
  • Manage post-listing investor communication and market expectations.
6. Risk Management & Internal Controls
  • Establish and strengthen enterprise-wide risk management frameworks.
  • Enhance internal financial controls, compliance mechanisms, and governance processes.
  • Ensure effective internal audit and risk assessment processes.
  • Identify and mitigate financial, operational, legal, regulatory, and reputational risks.
7. Business Performance & Strategic Finance
  • Drive financial planning, budgeting, forecasting, and business analytics.
  • Monitor key financial and operational performance indicators.
  • Provide strategic insights to the CEO and Board on growth opportunities, profitability, and business performance.
  • Support mergers and acquisitions, strategic investments, and other corporate development initiatives, where applicable.
8. Due Diligence & Documentation
  • Lead financial due diligence activities as part of IPO preparation.
  • Ensure the accuracy and completeness of disclosures in the Draft Red Herring Prospectus (DRHP) and other offer documents.
  • Coordinate responses to regulatory queries and investor due diligence requirements.
  • Maintain and manage data rooms and critical documentation throughout the IPO process.
9. Taxation & Regulatory Management
  • Ensure effective tax compliance and optimize tax structures where appropriate.
  • Manage interactions with tax authorities, regulators, auditors, and external consultants.
  • Identify and address tax risks, contingent liabilities, and regulatory issues prior to listing.
10. Post-IPO Responsibilities
  • Ensure ongoing compliance with listing regulations and disclosure requirements.
  • Oversee quarterly and annual financial reporting obligations.
  • Monitor market expectations and drive initiatives focused on shareholder value creation.
  • Support long-term capital allocation, growth, and strategic business initiatives.
