Job summary

McCormick & Company seeks an experienced Associate Counsel to oversee legal matters for India, Southeast Asia and Australia. You will review and draft agreements, advise commercial and procurement teams, and support governance and compliance across APZ entities.

The ideal candidate is an Associate Member of ICSI with an LLB, 5+ years of experience in corporate law, and strong communication and collaboration skills to work with cross-functional teams in a manufacturing environment.

Qualifications

• 5+ years of minimum experience required.
• Associate Member of the Institute of Company Secretaries of India.
• LLB degree required.
• Strong written and verbal communication is essential.

Responsibilities

• Review, vetting and drafting of agreements and advising the commercial teams on risk mitigation across the region.
• Research and advisory on legal provisions to address business questions.
• Assist in formulating compliance checklists to monitor legal and compliance risks.
• Maintain central database of agreement templates across the region.
• Maintain statutory registers and secretarial records across APZ entities.
• Assist in litigation and recovery proceedings to protect regional entities.

Independently provide legal and transaction advisory to all functions and teams, including commercial team, procurement teams, marketing and business team across India, Southeast Asia and Australia, with oversight from the Associate Counsel APZ. Primary role will include review of Sale Agreements, Procurement Agreements, Equipment Purchase Agreements, Service Agreements, Non-disclosure and Confidentiality Agreements across the entire APZ region.

Support the Associate Counsel APZ in strategic initiatives and compliance of Board/ Entity secretarial compliance of the group entities across the APZ region, i.e. McCormick entities operating in Singapore, India, Australia, Thailand and Malaysia.

Key Responsibilities

• Review, vetting and drafting of agreements and advising the commercial teams towards management and mitigation of legal and contractual risk for business transactions across region.
• Research and advisory on legal provisions to address questions from business teams.
• Assistance in formulating compliance checklists to monitor and manage legal & compliance risks across the region. Follow up with business teams to update compliance status and highlight exceptions.
• Assistance in maintenance and Updation of central database of agreement templates across the region.
• Assistance in maintaining statutory registers, secretarial records of legal entities across India, Southeast Asia and Australia.
• Assistance in litigation and recovery proceedings, to ensure cost protection for the regional entities.

Desired Candidate Profile

• Associate Member of the Institute of Company Secretaries of India and LLB.
• 5+ years of minimum experience required.
• Effective written and verbal communication
• Good understanding of commercial transactions
• Ability to work in teams and extend cross-functional collaboration
• Deep understanding of manufacturing operations
