Job summary

Responsibilities

• Follow-up, analysis and implementation of new legislation impacting the Asset Manager and funds
• Complete Central Bank and CSSF applications for new sub-funds and manage post-authorisation amendments
• Draft and maintain fund and management company documents (Prospectus, KIIDs, Business Plan)
• Draft and review a range of contracts (IMAs, investment advisory and licensing agreements)
• Draft and review fund transactional documentation (ISDA, confirmations, amendments)
• Provide practical legal advice for Irish and Luxembourg fund umbrellas and governance
• Assist with quarterly and ad hoc board meetings and present topics as needed
• Represent the Asset Manager at external conferences and events

Our client, a Dublin based Asset Management Company is seeking to recruit a senior Legal Counsel.

The Role

We are looking to recruit a Legal Counsel to join our Legal Team. This role will report into the Head of Legal. We are looking for a candidate who not only is familiar with UCIT and AIFs and engaging with the Central Bank on Irish fund authorisations but who ideally also has experience with debt issuances and the relevant documents required to issue such securities.

Main Responsibilities:

• Legislation and Regulation - Follow-up, analysis and implementation of new legislation or regulatory requirements impacting the Asset Manager and the funds under management (such as the UCITS Directives, AIFMD, MiFID II, EMIR, SFDR, CP86 and outsourcing requirements).
• Fund Approvals/Amendments – Complete Central Bank and CSSF applications for new sub-funds and manage all post authorisation fund amendments with the Central Bank or the CSSF. Generally assist with the Asset Manager’s product development right from idea stage through to fully managing the new product approval process with the regulator and internal and external stakeholders;
• Fund Documentation – Draft and maintain fund and management company documents (e.g.Prospectus, Supplements, KIIDs/KIDs and Business Plan) and other ancillary documents related to the investment funds under management;
• Contracts - Draft and review a range of commercial contracts impacting the Asset Manager and the funds under management (such as IMAs with third party managers, investment advisory agreements and licensing agreements);
• Transactional Documentation: Draft and review fund transactional documentation (such as ISDA Agreements, transaction confirmations, ISDA amendment agreements and give-up agreements);
• Legal Advice – Provide practical, business-oriented legal advice on issues that arise for the Asset Manager in the context of its Irish and Luxembourg fund umbrellas and in respect of the Asset Manager’s own management company governance requirements;
• Projects - Participation in ad-hoc regulatory and business projects;
• Board and the Asset Manager Committee Preparation and Attendance – Assist internal stakeholders and the Company Secretary in respect of preparing and organising quarterly and ad hoc board meetings and attend to present topics as needed; and
• Representation– Represent the Asset Manager at external conferences, industry events or fund association events.

Key requirements:

• Qualified Irish Solicitor or a solicitor with equivalent qualification in another jurisdiction with 6+ years' post qualification experience (gained working in Ireland specifically).
• Previous experience in investment funds is essential, with a demonstratable background in the understanding of investment strategies and subsequent drafting of fund product documentation.
• Highly motivated, pragmatic, solutions-oriented and a real business partner.
• Ability to conduct a thorough legal analysis of complex topics and translate this analysis into practical and succinct legal advice.
• Commitment to high standards and forensic attention to detail.
• Strong communication skills (oral and written) and ability to liaise with top management and other stakeholders.
• Independent worker, with the organisational and task management skills necessary to manage a large volume of tasks and meet deadlines.
• Ability to effectively prioritise work by understanding competing priorities and make appropriate judgments regarding relative importance.
