Job summary

RECRUITERS in Dublin is seeking an experienced Funds Company Secretary to lead CoSec for regulated funds, AIFMs/ManCos and MiFID firms. The role covers board governance, minute drafting and close collaboration with senior stakeholders, boards and directors.

This senior individual contributor position offers ownership of a portfolio, a competitive salary plus bonus, and hybrid working with strong benefits and development opportunities.

Qualifications

• 7+ years of Company Secretarial experience with Irish regulated funds.
• Strong knowledge of the Companies Act, ICAV Act and Central Bank governance requirements.
• Excellent board and minute-writing experience.
• Comfortable managing senior stakeholders and owning a portfolio.
• Experience with governance platforms Blueprint or Diligent Entities.

Responsibilities

• Act as the primary CoSec contact across regulated investment funds, AIFMs/ManCos and MiFID firms.
• Manage the full board meeting cycle – agendas, board packs, attendance, minute drafting and action points.
• Support compliance with Central Bank of Ireland Corporate Governance, Fitness & Probity and Individual Accountability requirements.
• Perform CRO and Central Bank filings and act as Central Bank Portal Administrator.
• Provide PCF/CF onboarding and Individual Questionnaire support.
• Prepare AGM/EGM and ensure statutory governance compliance.
• Incorporate new companies and ICAVs; maintain statutory registers and governance records.

The role will cover:

What we’re looking for:

• 7+ years’ Company Secretarial experience, with a strong background in Irish regulated funds

• Comfortable managing senior stakeholders and taking ownership of a portfolio


• Experience with Blueprint, Diligent Entities or similar governance platforms
