Job summary

The Maples Group in Dublin, Ireland is seeking an Assistant Vice President – Company Secretary to join our Company Secretarial team on a hybrid basis. You will manage a portfolio of client entities, supervise junior staff, and ensure timely statutory filings, board minutes, and governance duties for a diverse client base.

Qualifications

  • Degree qualification with strong academic background.
  • 4–6 years’ relevant work experience in a corporate secretarial role.
  • Corporate secretarial qualification from the Chartered Governance Institute UK & Ireland is highly preferable.
  • Experience with Irish regulated funds space and managing own client portfolio is a prerequisite.
  • Familiarity with the Companies Act 2014 is essential.
  • Strong teamwork while able to work on own initiative.
  • Excellent time management, organizational and prioritisation skills plus excellent communication.

Responsibilities

  • Administer own client portfolio and act as CSP for a portfolio of varied clients.
  • Attend client board meetings and prepare detailed minutes and action points.
  • Supervise and coach junior team members and ensure deadlines are met.
  • Arrange statutory and regulatory filings and ensure compliance of client companies.
  • Communicate with directors on company law and governance matters.
  • Assist with new business enquiries and training/mentoring initiatives.
  • Motivate and develop junior team members and foster Maples Group culture.

About the Role

The Assistant Vice President will report to a Senior Vice President ("VP") and support the wider Company Secretarial team. The Assistant Vice President’s tactical responsibilities feed one larger objective: assisting with the administration and management of a portfolio of clients where company secretarial services are provided.

Primary responsibilities include;

  • the administration of their own client portfolio, which requires the individual to;
  • be assigned Client Service Professional ("CSP") responsible for a portfolio of varied clients
  • act as the primary contact on client relationships and fulfilling ancillary secretarial duties as appropriate
  • attend client board meetings and preparing detailed minutes and action points in a timely fashion
  • supervise and coach junior members of the team, ensuring the quality of their work and adherence to established deadlines
  • arranging statutory and regulatory filings and ensuring that client companies are in compliance with statutory obligations
  • acting as a channel of communication for the directors on matters of company law and corporate governance
  • assisting with new business enquiries;
  • he/she will demonstrate a commitment to acquiring new capabilities, constantly striving to improve performance;
  • he/she will proactively seek out and take advantage of training and development opportunities while assisting with mentoring junior team members and supporting their integration into both Maples Group and the day to day client service delivery; and
  • ensuring the effective management of junior members of the team including motivating, mentoring, encouraging the office culture, gaining commitment, exercising leadership and effective delegation.
What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:

  • degree qualified with a strong academic background
  • must have a minimum of 4-6 years’ relevant work experience in a corporate company secretarial role. Experience within an Irish legal, accountancy or corporate administration firm would be preferred
  • a corporate secretarial qualification from the Chartered Governance Institute UK & Ireland is highly preferable
  • Previous experience working in the Irish regulated investment fundsspaceand managing their own client portfolio is a pre-requisite
  • Familiarity with the Companies Act 2014 is essential
  • Strong team player but also equally capable of working on their own initiative
  • Excellent time management, organizational and prioritisation skills plus excellent communication skills.
