Job description

Responsibilities
  • Lead and manage M&A transactions from inception through completion, including deal structuring, due diligence, negotiation, and closing.
  • Advise on a wide range of corporate matters, including joint ventures, reorganizations, private equity investments, venture capital transactions, and strategic partnerships.
  • Draft, review, and negotiate complex transaction documents to protect client interests while facilitating deal completion.
  • Oversee due diligence processes, manage data rooms, and coordinate inputs from multidisciplinary teams.
  • Act as a key point of contact for clients, providing strategic, business-oriented advice tailored to their needs.
  • Collaborate with partners in developing and expanding the firm’s M&A practice, including participating in business development, pitching, and thought leadership initiatives.
  • Mentor and supervise junior team members to ensure high-quality work product and continuous professional development.
  • Stay updated on legal, regulatory, and market developments affecting M&A activity locally and internationally.
Requirements
  • Minimum 6–8 years of post-qualification experience (PQE) in corporate/M&A practice at a reputable law firm or in-house with a strong transactional focus.
  • Demonstrated track record in handling complex M&A transactions, including both domestic and cross-border deals.
  • Prior experience advising multinational corporations, financial institutions, private equity funds, and large local conglomerates on high-value transactions.
  • Proven capability in supervising junior associates, managing transaction workflows, and leading client communications.
  • Strong knowledge of corporate law, securities regulation, foreign direct investment rules, competition/antitrust considerations, and transaction structuring.
  • Advanced skills in drafting, reviewing, and negotiating share purchase agreements, joint venture agreements, shareholder agreements, and related corporate documents.
  • Analytical & Problem-Solving: Ability to analyze complex legal and commercial issues, anticipate risks, and propose practical solutions.
  • Project Management: Experience managing multi-jurisdictional transactions, coordinating with foreign counsel, and ensuring timely execution.
  • Client Management: Exceptional ability to build and maintain strong relationships with clients, anticipate client needs, and deliver commercially pragmatic advice.
  • Leadership & Mentoring: Skilled in supervising, mentoring, and training junior associates, delegating effectively while ensuring quality standards.
  • Soft Skills: Excellent communication (verbal and written), negotiation, and presentation skills; resilience under pressure; business-oriented mindset.
  • Fluency in English (both written and spoken) is essential. Proficiency in additional languages is an advantage.
