Job summary

PT Taka Hydrocore Indonesia seeks a qualified Legal Counsel to lead contract drafting, review, and commercial negotiations across Client and Sub-contractor agreements. Qualifications

• Bachelor's degree in Law (S1) or equivalent from a reputable university.
• 3–5 years of proven contract drafting, legal review, and commercial negotiation experience.
• Knowledge of local and international contracting standards, indemnity, liability limits, and insurance.
• Experience drafting and negotiating Client Service, Sub-contractor, Joint Venture, and Procurement/Vendor Contracts.
• Familiarity with compliance, dispute resolution, and tender/legal risk mitigation.
• Strong written and verbal communication in English and Bahasa Indonesia.

Responsibilities

• Act as the primary legal advisor to ensure engagements are legally sound and aligned with company targets.
• Draft, review, evaluate, and negotiate Client Contracts, Sub-contractor/Vendor Agreements, Charter Party agreements, and partnerships.
• Assess legal risk in tenders and contracts; propose mitigation strategies (indemnities, force majeure, tax clauses).
• Collaborate with Commercial, Project Operation, Finance & Accounting and Procurement teams to safeguard interests.
• Maintain a centralized contract management system covering lifecycles, renewals, and obligations.
• Provide strategic legal counsel on disputes, breaches, and claims management.
• Develop and standardize internal contract templates, T&C, and policies to streamline negotiations.
• Ensure contracts comply with Indonesian laws, international maritime regulations where applicable, and corporate governance.

Job description

Minimum Bachelor's degree (S1) in Law (Business Law/Corporate Law preferred) or equivalent from a reputable university.

Minimum 3–5 years of proven experience in contract drafting, legal review, and commercial negotiation, preferably within the Offshore Marine, Geotechnical/Geophysical Survey, or Oil & Gas industries.

Comprehensive understanding of local and international contracting standards and clauses, including risk allocation, indemnity, limitations of liability, and insurance requirements.

Demonstrated ability in drafting, reviewing, and negotiating various commercial agreements, including Client Service Contracts, Sub-contractor Agreements, Joint Ventures, and Procurement/Vendor Contracts.

Familiarity with compliance, commercial dispute resolution, and mitigating legal risks within tender documents and project execution phases.

Excellent analytical skills with a strong commercial acumen—ability to balance legal protection with business agility and revenue growth targets.

Exceptional written and verbal communication skills in both English and Bahasa Indonesia.

Willingness to be placed in Bandung.

Job Description:

Act as the primary legal advisor, ensuring all business engagements are legally sound and aligned with PT Taka Hydrocore Indonesia strategic and financial targets.

Draft, review, evaluate, and negotiate a wide spectrum of contracts including complex Client Contracts, Sub-contractor/Vendor Agreements, Charter Party agreements, and strategic partnerships.

Conduct rigorous legal risk assessments on tender documents and proposed contracts, identifying potential liabilities and proposing effective mitigation strategies (e.g., indemnities, force majeure, taxation clauses).

Collaborate closely with the Commercial, Project Operation, Finance & Accounting and Procurement teams to ensure contract terms are practical, executable, and safeguard the company’s operational and financial interests (e.g., payment terms, scope of work).

Maintain a robust and centralized contract management system, tracking contract lifecycles, validity periods, renewals, and ensuring all contractual obligations are fulfilled by all parties.

Provide strategic legal counsel regarding commercial disputes, breach of contract issues, and claims management with clients or suppliers.

Develop and standardize internal contract templates, standard terms and conditions (T&C), and commercial legal policies to streamline the negotiation process and enhance operational efficiency.

Ensure all corporate contracts comply with Indonesian laws, international maritime regulations (where applicable), and PT Taka Hydrocore Indonesia internal corporate governance.

Advanced Legal Drafting & Review – Expertise in constructing, interpreting, and redlining complex commercial and operational contracts with high precision.

Occupational Health Management – Strong ability to analyze legal clauses through a commercial lens, identifying financial and operational risks and offering strategic, business-oriented solutions.

Negotiation & Dispute Resolution – Proven capability to confidently negotiate terms with multinational clients and major suppliers, while maintaining strong business relationships.

Contract Lifecycle Management – Proficient in managing contracts from the pre-award tender phase through to execution, compliance monitoring, and close-out.

Stakeholder Collaboration – Excellent interpersonal skills to effectively partner with cross-functional leaders (Commercial, Project Management, Procurement, and Top Management) to drive successful business outcomes.
