Job summary

KN Group in Hong Kong is seeking a seasoned Corporate Legal Counsel to oversee overseas governance, design governance structures, and optimize equity architectures across the group.

You will lead overseas M&A and financing law, manage cross-border transactions, licensing, and external counsel, while providing regulatory guidance to support business decisions in multiple jurisdictions.

Qualifications

• Bachelor's degree in Law required with solid legal knowledge.
• Practicing qualification in a common law jurisdiction preferred (e.g., HK, Singapore, UK or US).
• Overseas study background preferred.

Job Responsibilities

• Corporate Governance and Structure Design: Responsible for the daily governance of overseas operating entities, and for the design, establishment, and optimization of governance structures and equity architectures that balance compliance, tax efficiency, and flexibility across the group's legal and shareholding framework.
• Institutional Business and M&A Legal Support: Lead the full lifecycle of legal affairs for overseas M&A and fund projects, and take charge of institution-level commercial negotiations, as well as the application and maintenance of financial licenses.
• Core Product Compliance and Transaction Structuring: Deeply participate in the transaction structuring, drafting of terms and agreements, and localized implementation of credit products; identify and control legal and operational risks in business activities.
• Regulatory Tracking and Compliance Enablement: Track, research, and analyze laws, regulations, and policy developments related to overseas business; develop a deep understanding of regulatory interpretations and enforcement logic in overseas markets; provide compliance advice and legal training for company operational decisions.
• Daily Legal Affairs Management: Review daily contracts and maintain templates; oversee and manage labor disputes, regulatory inquiries, customer complaints, and other routine legal matters; efficiently screen and manage overseas law firms, as well as intellectual property, litigation, and other dispute resolution matters.

Job Requirements

• Education: Bachelor's degree or above in Law, with solid legal knowledge and a strong legal foundation. Candidates holding a practicing qualification in a common law jurisdiction such as Hong Kong, Singapore, the UK, or the US are preferred; a PRC lawyer's license is also acceptable. Overseas study background is preferred.
• Work Experience: 7+ years of relevant legal experience; overseas work experience is preferred (e.g., stationed in Southeast Asia, the Americas, Europe, etc., or frequently supporting cross-border business and multi-jurisdictional projects). Experience in law firms or in-house legal roles in consumer finance, fintech, internet finance, or payments is preferred.
• Overseas Business Capability: Rich practical experience in overseas legal affairs, familiar with the legal environment and regulatory frameworks of overseas operating countries; able to independently handle cross-border M&A, funds, license applications, transaction structuring, and related matters; experience in managing multi-jurisdictional external counsel and coordinating overseas law firms.
• Thinking and Working Style: Strong business-oriented mindset, able to provide effective legal solutions and drive business development while understanding commercial objectives; systematic thinking and risk quantification awareness; able to work efficiently and independently in a fast-paced, multi-tasking environment.
• Communication and Collaboration: Excellent cross-cultural communication and coordination skills; able to collaborate effectively with multiple departments and multinational teams; flexible, open-minded, highly responsible, and resilient under pressure.
• Language Skills: English as a working language, with excellent legal English reading and writing skills; fluent Mandarin Chinese; additional language abilities (e.g., Indonesian, Spanish, Thai) are a plus.
