Key Responsibilities
- Prepare annual and interim U.S. GAAP financial statements, including balance sheet, income statement, statement of comprehensive income (loss), statements of equity and cash flows, and all related footnotes.
- Draft disclosure documents for applicable SEC reports and transaction filings, ensuring completeness, accuracy, and consistency of financial data across filings.
- Assist in drafting and update of Management's Discussion and Analysis (MD&A), including analysis of operating results, liquidity and capital resources, critical accounting estimates, and material trends and uncertainties.
- Prepare supporting schedules, tie-out workpapers, and review-ready documentation supporting financial statements and disclosures.
- Coordinate with external auditors and legal counsel to resolve reporting, disclosure, and comment-letter matters efficiently.
- Prepare all other SEC filings and Board documentations.
IPO / De-SPAC Transaction Reporting
- Assist in preparing financial statements and related footnotes included in registration statements and other transaction filings, including pro forma financial information with detailed pro forma adjustments and supporting reconciliations.
- Support preparation of forward-looking financial information and related disclosures, including assumptions, sensitivities, and caveats.
- Address auditor and SEC financial-reporting comments and questions arising in connection with filings.
- Prepare and maintain pre- and post-transaction capitalization tables and dilution analyses, including ordinary shares, warrants, options, convertible instruments, earn-outs, redemptions, and PIPE and other financing rounds.
- Quantify ownership impact of contingent and dilutive instruments for management, board, and filing purposes.
Technical Accounting
- Research U.S. GAAP matters and draft technical accounting memoranda documenting the facts, applicable authoritative guidance, alternatives considered, conclusions, and disclosure implications - at a standard suitable for external auditor review, with clearly documented support for management's accounting conclusions.
- Support accounting analysis for complex transactions, including business combinations versus reverse recapitalization analysis, warrants and convertible instruments, debt-versus-equity classification, share-based compensation, and EPS.
Qualification Requirements
Required
- A minimum of 3 years of hands-on U.S. GAAP experience, gained through:
