Career International AP (Hong Kong) Limited is seeking an Associate - Funds, Corporate & Commercial to lead and advise on offshore fund matters. The role requires handling fund formation, documentation, governance and cross-border transactions for a vibrant asset-management environment.

• 3+ years of relevant legal experience in funds, asset management, private equity, or financial institutions.
• Hands-on experience with offshore fund structures and jurisdictions.
• Cayman Islands experience strongly preferred.
• Experience with Cayman, BVI, Jersey, Luxembourg, UK, Singapore and/or Hong Kong fund structures.
• Solid knowledge of fund formation, governance and fund management.
• Strong English drafting and cross-border communication skills.
• Cross-border fund experience across multiple offshore jurisdictions is preferred.

Lead legal matters relating to offshore fund formation, structuring and ongoing fund management throughout the fund lifecycle.

Draft, review and negotiate fund documents, including Limited Partnership Agreements, Management Agreements, Subscription Agreements, Side Letters, etc.

Provide legal support on fund operations, investor relations and asset management activities.

Handle corporate governance matters, including constitutional documents, shareholder/board resolutions and related arrangements.

Coordinate with external counsel and professional advisors on key legal and regulatory matters.

Monitor legal and regulatory developments in the fund industry and provide legal advice to support business development.

Requirements

3+ years of relevant legal experience in funds, asset management, private equity, financial institutions or a relevant law firm.

Hands-on experience with offshore fund structures and jurisdictions, with Cayman Islands experience strongly preferred.

Experience with Cayman, BVI, Jersey, Luxembourg, UK, Singapore and/or Hong Kong fund structures; Luxembourg experience is a strong plus.

Solid knowledge of fund formation, fund documentation, fund management and corporate governance.

Strong English proficiency, with the ability to independently draft/review English legal documents and communicate with international stakeholders.

Strong commercial awareness, communication skills and independent problem-solving ability.

Cross-border fund experience and exposure to multiple offshore jurisdictions are preferred.
