Qualifications

• 3+ years of relevant legal experience in funds, asset management, private equity, or financial institutions.
• Hands-on experience with offshore fund structures and jurisdictions.
• Cayman Islands experience strongly preferred.
• Experience with Cayman, BVI, Jersey, Luxembourg, UK, Singapore and/or Hong Kong fund structures.
• Solid knowledge of fund formation, governance and fund management.
• Strong English drafting and cross-border communication skills.
• Cross-border fund experience across multiple offshore jurisdictions is preferred.

Responsibilities

• Lead legal matters relating to offshore fund formation, structuring and ongoing fund management throughout the fund lifecycle.
• Draft, review and negotiate fund documents, including Limited Partnership Agreements, Management Agreements, Subscription Agreements, Side Letters, etc.
• Provide legal support on fund operations, investor relations and asset management activities.
• Handle corporate governance matters, including constitutional documents, shareholder/board resolutions and related arrangements.
• Coordinate with external counsel and professional advisors on key legal and regulatory matters.
• Monitor legal and regulatory developments in the fund industry and provide legal advice to support business development.
