Own and advance the Company's fund and digital-assets legal architecture from formation through ongoing maintenance. Enable product and fundraising activity within a clear, defensible legal perimeter, in partnership with Compliance, Finance, Product, and Operations.
Key responsibilities
- Lead fund-related legal work from formation through first closes, and support ongoing administration and maintenance.
- Prepare and maintain offering and constitutive documents and the core template suite as products evolve.
- Drive licence applications and related regulatory workstreams with external counsel; track conditions, variations, and calendars.
- Advise on securities and product characterisation, distribution restrictions, and financial promotions or marketing review.
- Draft and negotiate material contracts with custodians, administrators, auditors, brokers, platforms, and other service providers, including arrangements where trade execution sits with licensed institutions.
- Support investor onboarding documentation, side letters, and legal responses to investor due diligence.
- Establish and maintain the living legal playbook: entity map, activity and licence matrix, templates, and closing checklists.
- Instruct and manage external counsel efficiently, protect privilege, and control cost.
About you
- Qualified lawyer with a current practising certificate in a common-law jurisdiction.
- Hands-on experience in investment funds (formation and/or ongoing counsel) and/or securities or financial-services regulation.
- Demonstrable ability to build process and documentation in a high-ambiguity, zero-to-one environment.
- Working knowledge of digital assets, tokenised products, or fintech, or a clear evidenced capacity to ramp.
- Strong drafting and negotiation skills, with the ability to convert commercial instructions into clear, defensible documents.
- Experience running licence or regulatory workstreams with regulators and external counsel.
- Excellent written and spoken English; Chinese strongly preferred for Hong Kong stakeholders.
- Right to work in Hong Kong.
