Nomura Holdings, Inc. is seeking a Vice President in Acquisition & Leveraged Finance, London, to lead structuring and deal execution for sponsor clients across leveraged finance.

You will coordinate with internal teams and external counsel, develop financing structures, and present terms to Credit Committee. The role requires a qualified lawyer and at least 4 years PQE in leveraged finance, with secondment experience valued.

Qualifications

• Lead structuring and documentation workstreams from marketing to closing.
• Assist origination in grids responses, negotiating term sheets, commitment docs and SFAs.
• Coordinate with external counsel on deal matters.
• Coordinate with external law firms and counterparts; arrange trainings.
• Protect firm position through documentation and address issues.
• Present financing structures and key terms to Credit Committee.
• Collaborate with finance, legal, loan ops, and KYC to ensure smooth closings.
• Support LF team in financial resource planning with internal stakeholders.
• Represent LF team on change and regulatory initiatives with ALF COO.

Responsabilités

• Lead structuring and documentation workstreams within deal execution from marketing to closing
• Assist origination in responding to grids, negotiating term sheets, commitment documentation and SFAs
• Manage the interaction with our counsel on a given deal
• Liaise with outside law firms and counterparts at other banks to stay abreast of current documentation and structuring themes; arrange trainings for team as appropriate
• Ensure the firm’s position is protected through the documentation and escape material issues as appropriate
• Present proposed financing structures and key terms to Credit Committee, highlighting material structuring and documentation considerations
• Work with internal functions (finance, legal, loan ops, kyc) to ensure deal closings go smoothly
• Support the leveraged finance team in financial resource planning working with relevant internal stakeholders
• With the ALF COO, represent the leveraged finance team on business change and regulatory initiatives, assessing their impact on the business and coordinating the team’s input
