Senior Legal Counsel - Commercial Contracts

About this role

Capital One is seeking an experienced in-house commercial contracts solicitor within the UK Legal Team to lead on technology contracts for the UK business.

Reporting to the head of UK Contracts, you will provide legal advice on supplier contracts including SaaS agreements, software licenses, outsourcing contracts, and IT infrastructure, along with other commercial matters.

Our Contracts team plays a key role in managing risk when engaging suppliers. We seek a team player with strong communication, contract drafting and negotiation skills, and commercial acumen. This could be an exciting next step in your career!

What you'll do
  1. Prepare and negotiate contractual arrangements, including services agreements, outsourcing agreements, SaaS, cloud agreements, software licenses, terms and conditions, variation, termination, and renewal agreements, following Capital One's precedents.
  2. Support UK aspects of global agreements with US Legal and supplier management teams, focusing on SaaS.
  3. Manage contractual workstreams for the technology department, collaborating with supplier management and business teams to integrate legal considerations and ensure timely execution.
  4. Advise on legal and regulatory risks, strategic considerations for third-party contracting, outsourcing, data protection, intercompany agreements, and international matters, collaborating with legal specialists as needed.
  5. Supervise and mentor junior team members in contract negotiation, drafting, legal research, and advice.
  6. Develop relationships with stakeholders including suppliers, sourcing, and business managers within UK and US teams.
  7. Identify and assess new laws, provide training, and advise on legal risks for new tech initiatives.
  8. Manage external counsel input when necessary.
  9. Organize workload effectively and communicate progress to stakeholders.
  10. Ensure adherence to contract procedures and policies, escalating risks appropriately.
  11. Support personal development and mentor others through feedback and coaching.
What we're looking for
  • Qualified solicitor with significant experience in drafting and negotiating complex commercial and technology contracts, with a strong understanding of data protection law.
  • In-house experience preferred, ideally within financial services, but not essential.
  • Strategic thinking and problem-solving skills to support business challenges.
  • Excellent workload management skills, adaptability, and flexibility.
  • Strong written and verbal communication skills, tailored to the audience.
  • Proven track record of delivery and results focus.
  • Excellent relationship-building and teamwork skills across legal, supplier, and business teams.
  • Forward-thinking in utilizing digital tools for legal advice and contract drafting.
  • Commitment to delivering high-quality legal services.
  • Experience managing a team is preferable.
