We are seeking a highly-organized, self-motivated Senior Legal Counsel to join our Legal team. The ideal candidate will have experience advising businesses in a broad array of legal matters affecting a fast-paced growth organization.

About Midnight:

IOG's Midnight Tribe is a business technology provider and core contributor to the Midnight Network, a blockchain platform for developing decentralized applications that safeguard personal and commercial data. The Midnight Network is the first blockchain to offer programmable data isolation by leveraging zero-knowledge (ZK) proofs to enable selective disclosure of information on-chain, helping developers implement necessary business policies and meet regulatory requirements.

What the role involves:

As Senior Legal Counsel for Midnight, you will provide legal guidance and ensure compliance with laws and regulations in the dynamic blockchain industry. You will work closely with our Chief Legal Counsel, offering strategic advice, managing risks, and aligning operations with industry best practices.

• Provide legal guidance on issues such as contract drafting and negotiation, product development, intellectual property, privacy, regulatory compliance, and finance.
• Review, draft, and negotiate contracts including vendor agreements, software licenses, terms of service, privacy contracts, and client agreements.
• Conduct legal reviews of marketing materials across channels, collaborating with internal teams to identify best practices and mitigate risks.
• Identify potential legal risks and advise on solutions to minimize liability.
• Stay updated on legal developments and industry best practices related to blockchain and cryptocurrency regulations.
• Collaborate with cross-functional teams to provide legal support and guidance.
• Conduct training sessions on legal and compliance matters for employees.

Requirements

Key Competency Requirements:

• Support the legal team and other departments in interfacing with external partners, service providers, and regulators, coordinating with external counsel as needed.
• Proactive self-starter capable of managing tasks independently and exercising sound judgment.
• Experience in contract drafting, review, and management, considering legal, commercial, and regulatory factors.
• Ability to advise on compliance and legal issues, including monitoring upcoming crypto regulations in key jurisdictions such as the UK, EU, US, and UAE.

Education/Experience Requirements:

• At least 10 years of legal practice, ideally with experience in both in-house and private practice, with relevant crypto industry experience preferred.
• Qualified to practice law in the US, UK, or other relevant jurisdictions.
• Organized, analytical, and detail-oriented.
• Self-motivated with a willingness to expand scope of work.
• Excellent communication skills in English, both written and spoken.
• Strong time management skills, capable of prioritizing and multitasking.
• Flexible working across time zones and teams.
