Restructuring Director / M&A Director

Working hours: This role is available on a part-time, job-share or full-time basis.

Location: London / Hybrid Working

The opportunity:

We are seeking a proactive team player to join the restructuring team within Zurich Legacy Solutions (“ZLS”). The ideal candidate will be engaging, calm under pressure, and comfortable expressing their views while promoting ZLS’s high ethical standards.

ZLS is a global function responsible for managing capital across Zurich Group’s Business Units (“BUs”) by handling legacy portfolios through long-term reinsurance solutions or legal transfer. The team is mainly based in the UK and US, supporting BUs worldwide.

ZLS reports directly to the Head of Group Treasury and the Group CFO and is a market leader in legacy disposals globally.

The role involves supporting the commercial transaction lead in identifying and executing exit strategies that maximize shareholder value, achieve finality, and recycle capital back to Zurich Group. It also includes ensuring operational efficiency and maintaining service levels during portfolio exit preparations.

Ideal candidates will have experience in selling or acquiring insurance/reinsurance companies or portfolios, with a strong technical background in underwriting, claims, actuarial, finance, and legal.

Responsibilities:

• Identify market benchmarks and trends in the run-off industry and managed portfolios.
• Research and present information on the buyer universe.
• Develop relationships with buyers, sellers, reinsurers, intermediaries, and advisers.
• Analyze portfolio data to identify embedded value for buyers.
• Support high customer service standards across Zurich group partners.
• Collaborate with Actuarial on portfolio reserving.
• Lead operational effectiveness efforts across functions before exit.
• Manage exit strategy to maximize shareholder value and ensure finality.
• Prepare detailed business case presentations for internal approval.
• Coordinate with colleagues and advisers on information memoranda and Data Room creation.
• Manage buyer information requests during transactions.
• Assist legal teams in developing contracts and negotiations.
• Ensure regulatory consents are secured for exits.
• Lead communication plans and staff planning for portfolio exits.
• Plan and execute smooth transitions to buyers post-closing.

Requirements:

Required:

• Experience in M&A in financial sector or technical insurance roles with transaction knowledge.
• Insurance finance & accounting expertise, especially in M&A and reinsurance.
• Project management in an M&A environment.
• Extensive experience in insurance or finance.
• Proficiency in MS Word, Excel, PowerPoint, with high-standard presentation skills.

Preferred:

• Knowledge of the legacy insurance market.
• Experience in claims, underwriting, or actuarial functions.
• International business experience.
• Knowledge of foreign languages.
