Job summary

Ashurst Perkins Coie in Glasgow is seeking an experienced associate for our Corporate Transactions team, focusing on private M&A across a wide range of geographies and sectors, with opportunities in tech M&A, private equity, financial services M&A, and infrastructure M&A.

The successful candidate will lead negotiations, draft key transaction documents, and coordinate multi-disciplinary teams to deliver practical, cost-effective solutions for clients.

Qualifications

• Associate with post qualification corporate transactional experience across a wide range of matters.
• Enthusiastic team-player who can work effectively with colleagues at all levels.
• Experience drafting and negotiating the key transaction documents on matters including SPAs, disclosure letters and equity documents (including shareholder agreements/ JV agreements).
• Experience leading transactions and/or key transaction document workstreams directly with clients.
• Experience coordinating multi-disciplinary and multi-jurisdictional teams.

Responsibilities

• Demonstrate well developed verbal and written communication skills, and innovative drafting skills.
• Excellent attention to detail, identifying inconsistencies that indicate problems with quality of work or a misunderstanding of clients' needs.
• Confident and effective in negotiations with clients and counterparties.
• Communicate with clients to understand their needs and how best to meet them, and assist in arriving at practical and cost-effective solutions.
• Build and maintain a network of business contacts, both internally and externally.
