Senior Legal Counsel - Commercial Contracts

About this role

Capital One is excited to offer a new opportunity for an experienced in-house commercial contracts solicitor within the UK Legal Team, to lead on technology contracts for the UK business.

Reporting to the head of UK Contracts, you will provide legal advice to the technology teams on a range of supplier contracts, including SaaS agreements, software licenses, outsourcing contracts, and IT infrastructure arrangements, along with other commercial matters.

Our Contracts team plays a key role in managing risk when engaging suppliers. We seek a strong team player with excellent communication, contract drafting and negotiating skills, and commercial acumen. If you're seeking a new challenge, this could be the role for you!

What you'll do
  1. Prepare and negotiate contractual arrangements such as services agreements, outsourcing agreements, SaaS and cloud agreements, software licenses, terms and conditions, variation, termination, and renewal agreements, following Capital One's precedents.
  2. Support UK aspects of global agreements with US Legal and supplier management teams, focusing on SaaS.
  3. Manage contractual workstreams for the technology department, collaborating with supplier management and business teams to ensure timely legal support aligned with business priorities.
  4. Advise on legal and regulatory risks, including outsourcing, data protection, intercompany agreements, and international matters, collaborating with other legal specialists as needed.
  5. Supervise and mentor junior team members in contract negotiation, drafting, legal research, and advice.
  6. Develop and maintain relationships with stakeholders, including suppliers, sourcing managers, and business managers within Capital One UK and the US where appropriate.
  7. Identify and assess the impact of new laws, provide training, and advise on legal risks for new tech initiatives.
  8. Manage external counsel input when necessary.
  9. Handle workload effectively, proactively communicating progress to stakeholders.
  10. Ensure adherence to contracts procedures and policies, escalating risks appropriately.
  11. Support personal development and mentor others within the business.
What we're looking for
  • Qualified solicitor with significant experience in drafting and negotiating complex commercial and technology contracts, with a strong understanding of data protection law.
  • In-house experience preferred, ideally within financial services, but not essential.
  • Strategic thinker with problem-solving skills to support business challenges.
  • Excellent workload management skills, adaptable to a fast-paced environment.
  • Effective written and verbal communication skills, tailored to the audience.
  • Proven track record of delivering results.
  • Strong relationship-building and teamwork skills across legal and business teams.
  • Forward-thinking in leveraging digital tools for legal advice and contract drafting.
  • Commitment to delivering top-tier legal services.
  • Previous team management experience is advantageous.

Where and how you'll work

This is a permanent role based in Nottingham, with a hybrid working model. You will work in the Nottingham office three days a week (Tuesdays, Wednesdays, Thursdays) and have flexibility for remote work. We are open to discussing flexible working arrangements.
