Position Overview:

The Associate General Counsel, ex-U.S. -Private Wealth will play an integral role within Neuberger Berman's Legal & Compliance Department, specifically with respect to Neuberger's non-U.S. retail business. The ideal candidate will have experience in legal and compliance issues arising from the management of assets for private clients across non-U.S. jurisdictions, possess excellent organizational skills and strong written and oral communication skills, and be able to interface with various colleagues and business groups across the firm. This job will require strong writing and reading skills and the ability to think critically, issue spot, and efficiently review a variety of marketing literature.

Primary Responsibilities:
  • Provide strategic advice on legal and regulatory issues affecting the non-U.S. retail business including: advising on the legal and regulatory framework; liaising with advisors and operations on all aspects of the client relationship; and assisting with legal issues around client onboarding and maintenance.
  • Provide advice regarding applicable regulatory frameworks including FCA rules, AIFMD, MiFID II, GDPR, and MAS.
  • Partner closely with legal colleagues in the U.S. and business, compliance, and operations colleagues to assess the impact of regulatory change and drive timely, practical implementation of required updates across the business.
  • Partner with regional local compliance teams to ensure policies, procedures, and controls remain current, locally compliant, and fit for purpose across all jurisdictions.
  • Advise on the legal and regulatory requirements governing the distribution and delivery of the firm's products and services across non-U.S. markets, including analysis of local licensing, registration, and permissioning obligations, and partner with business and compliance teams to ensure all necessary authorizations are obtained and maintained prior to market entry or expansion.
  • Partner with business, operational and risk teams through all stages of the development of new non-U.S. advisory initiatives, including drafting and updating advisory agreements and related documentation for retail clients, and advising on and testing technology initiatives.
  • Effectively and diplomatically manage competing priorities and provide guidance with respect to non-U.S. regulatory requirements to senior leaders, advisory teams and other firm personnel.
  • Assist the local legal team with regard to the review of general commercial contracts, RFPs and marketing materials
  • Develop, implement, update and maintain monitoring processes to ensure ongoing compliance and anticipate, manage, and reduce risk with respect to the non-U.S. retail advisory business.
Key Requirements / Qualifications:
  • Qualified solicitor, barrister, or attorney admitted in England & Wales, overseas-qualified attorneys with equivalent experience considered
  • 5 plus years of post-qualification experience in private wealth, asset management, or financial services law
  • Strong writing and analytical skills
  • Efficient and resourceful, able to work independently, handling multiple and changing priorities, and meet deadlines
